Effective as of March 1, 2017, Rush University Medical Center, an IL not-for-profit, 501(c)(3) tax-exempt corporation ("RUMC") and Rush-Copley Medical Center, Inc., an IL not-for-profit, 501(c)(3) tax-exempt corporation ("Copley") completed the process of reorganizing their operations under affiliate and, pursuant to the reorganization, common corporate parent, Rush System for Health ("RSH"). In order to fully effectuate this reorganization, RSH amended its governing documents to become the sole-corporate member, and thus hold certain Reserved Powers, over each of RUMC and Copley.

Form 990, Part VI, Section B, line 11B

A copy of Form 990 is provided to the Board of Trustees. The 990 is reviewed with the Board by the SVP & Chief Financial Officer with regard to the financial reporting and any major changes since the prior year.

Form 990, Part VI, Section B, line 12

Each Trustee on the RSH Board of Trustees additionally serves in such capacity on either the RUMC or Copley Board. As such, each Trustee is subject to the conflict of interest policies of RUMC or Copley, as applicable. Similarly, each RSH Officer additionally serves as an Officer of either RUMC or Copley and is thus subject to the conflict of interest policies of RUMC or Copley, as applicable. RSH is evaluating the benefits of implementing a single conflict of interest policy that would be system-wide, across the Rush System, and of which all trustees, officers, and employees of the Rush System would be subject.

Form 990, Part VI, Section B, line 15

Rush System for Heath relies on related organizations to determine compensation of the CEO and other officers. The related organizations use an independent review, comparability data and contemporaneous substantiation to establish compensation packages for officers. All officer compensation packages are approved by the Compensation and Human Resources Committee of the respective related organizations.

In order to fully effectuate this reorganization, RSH amended its governing documents. The revised and current governing documents list the supported organizations by name. However, the prior governing documents did not list each supported organization by name. Instead the prior bylaws included the following language: "b. Entities entering into new corporate affiliations with Rush-Presbyterian-St. Luke's Medical Center (" RPSLMC") may, if provided for within the affiliation agreement, be added as a Member Hospital and as such be accorded all the rights and responsibilities of a Member Hospital participating in Rush System for Health."

RSH was organized to provide services to its not-for-profit members in the area of strategic planning and quality improvement, and the arrangement of services to facilitate efficient healthcare delivery through group purchasing and health benefits procurement. Without RSH, the supported organizations would have had to do these acts individually resulting in higher costs. Prior to the reorganization, the President or CEO of each supported organization served as the director of RSH, and all directors had an equal right to vote.
