Governance Explanations

Form 990, Part VI, Section B, Line 11

The board retains the services of an independent cpa firm to prepare the organization's form 990. Management reviews the completed form 990 and provides a full copy to all voting members of the governing body prior to filing. A meeting or conference call is scheduled for the cpa firm and organization management to discuss form 990 with all voting members of the governing body and to answer any questions prior to filing form 990 with the irs.

Form 990, Part VI, Section B, Line 12C

Officers, directors, trustees and key employees are annually required to complete a conflict of interest disclosure statement as a precursor to their service to the organization. Potential conflicts are logged with and monitored by the secretary of the board.

Form 990, Part VI, Section B, Line 15

Compensation and review procedures are performed by the national safety council, a related organization. The personnel and compensation committee of the board of directors is comprised of independent directors who determine officer compensation based on comparability data and contemporaneous substantiation of the deliberation and decision, and it consults with third parties as necessary. The organization also periodically arranges for market pricing studies and implements employee salary change recommendations as appropriate. The last study was performed in 2014. For any compensation adjustment, those affected are not participants in the decision making process.

Financial Statement Notes

PART X, LINE 2:

The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, the council may recognize the tax benefit from an uncertain tax position only if it is more likely that not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the council, the continued tax-exempt status of bonds issued by the council, and various positions related to the potential sources of unrelated business taxable income (ubit). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities for the financal reporting periods present in these consolidated financial statements. The council files forms 990 in the u.s. Federal jurisdiction and the state of illinois. The council is generally no longer subject to examination by the internal revenue service for fiscal years before 2011.
