The board has three categories of directors: 1) 3 ex officio who are fairview's ceo and the university's vice president of medical school and a senior leader of the university medical school or of the university appointed, from time to time, by the vice president 2) 10 elected directors who are 1 director elected by the regents of the university of minnesota and 9 elected by the board after nomination from certain components of the fairview system; and 3) between 3 to 8 at-large directors elected by the board.

The regents of the university of minnesota have the right to approve proposed amendments to the articles of incorporation and bylaws of the corporation if the amendment would adversely affect their rights and certain sales of substantially all of fairview's assets. An association of approximately 70 lutheran churches elects most of the fairview southdale hospital, fairview ridges hospital and part of the ummc boards of trustees, as well as the fpa community directors and the ebenezer society board of directors and has the right to approve certain fairview bylaw amendments.

Managers, directors and senior management of fairview are required to annually complete fairview's duty of loyalty and conflict of interest statement in compliance with fairview's conflict of interest policy. Disclosures are reviewed by the compliance department. Conflicts of interests by board members and senior management are brought to the audit and compliance committee of the board, along with additional detailed information, for review. In addition, the compliance officer compiles a schedule showing reported conflicts of interest by managers and key employees is also presented to the conflict of interest review committee for review and discussion. Any problematic issues arising from these disclosures are discussed and resolved by the committee. Board members and management employees are expected to update their conflicts, as necessary, during the year.

Healtheast care system is the parent corporation of a large hospital and healthcare system. Healtheast care system is the management company providing centralized services for all healtheast care system subsidiaries. Management services provide centralized services for all healtheast care system subsidiaries. A management fee is charged to each subsidiary for management services. These services include the following: strategic planning, tax services, financial analysis, payroll, budgeting, accounts receivable, accounts payable, communication, it services, health care management, quality management, cash management, risk management, real estate, accounting, marketing, spiritual care, contracting, legal, purchasing, human resource and employee benefits services. The centralization of management services provides for high quality, cost effective and compassionate health care management and medical services for the twin cities east metro residents. Therefore, these management services relate directly to the exempt purpose of owning and managing public hospitals and a healthcare system. Healtheast care system is a community-focused, non-profit health care system that provides innovative technology, compassionate care and a full spectrum of family health services. In 1986, the leaders of seven hospitals in st. Paul, minnesota blended their baptist, roman catholic and lutheran cultures to become healtheast care system, united in pursuit of a common mission built on judeo-christian values. Healtheast care system is part of fairview health services. Fairview health services is an award-winning, nonprofit, integrated health system providing exceptional health care across the full spectrum of health care services. Founded in 1906, fairview provides exceptional care to patients and communities as one of the most comprehensive and geographically accessible systems in minnesota. The fairview system controls and operates university of minnesota medical center, the adult and pediatric teaching hospital of the university of minnesota medical school; 10 community-based general acute care hospitals; 1 long-term acute care hospital; 56 primary care clinics; over 100 specialty care services; 10 urgent care clinics; occupational health clinics; 36 retail and specialty pharmacies; pharmacy benefit management services; rehabilitation centers; counseling; home care and hospice services; 90 owned and managed senior care facilities and long-term care housing facilities (through ebenezer society, a fairview subsidiary); emergency medical transportation; an integrated provider network; and health insurer preferredone. Healtheast care system provides post-acute care to patients at healtheast bethesda hospital following a catastrophic illness or injury. These patients: have clinical needs justifying a hospital stay beyond 20 days. Require daily physician visits. Need interdisiplinary support and multiple therapy disciplines. Bethesda hospital opened in st. Paul in 1883. With 253 licensed beds, bethesda hospital is the largest long-term acute care hospital in the region, providing specialized care for patients experiencing sudden trauma or long-term illness. Services are specifically designed to treat patients with multiple medical conditions and complex needs, particularly ones that require longer-term, hospital-level care with daily physician involvement. In these unique circumstances, bethesda hospital cares for patients' physical, emotional, spiritual, and social needs. Key services include brain injury, respiratory, and complex medical care. Bethesda hospital is different from other rehabilitation facilities because: our focus is on working with patients representing a high level of acuity, those who are chronically, critically ill with complex medical co- morbidities; many come to us directly from other hospitals' icus for care in our signature programs. We are committed to including families and caregivers in the care planning and recovery process. We highlight the mind, body and spirit connection. We are dedicated to individualized, interdisciplinary medical care and therapy plans. This organization provides emergency and medically necessary non-emergency services regardless of ability to pay. Nursing case managers have a broad range of nursing experience, and provide assessments, teaching and skilled nursing procedures. The case manager works with doctors, other team members, and caregivers to develop a plan of care. Laboratory specimens can be drawn or collected at home by a nurse and delivered to a certified laboratory for testing. Home health aides provide hands-on personal care. This may include bathing, assistance with walking and transferring, minor dressing changes and care of ostomies, wounds and incontinence. Home care provides extensive rehabilitation services from their physical, occupational and speech therapy departments. Home infusion therapy/intravenous (iv) medications can now be safely administered in the home. Specially trained nurses and clinical pharmacists work with doctors to provide effective infusion therapies. High-risk pregnancies can be monitored by a home care nurse in the comfort of the patients' home to help prevent complications and early deliveries. Home care also provides postpartum services that are individualized home care services to new parents and their babies; this typically includes a one-time visit to assist new parents, especially the mother, and newborns with the adjustment of having a new baby in the home. This visit can include lactation assistance and hyperbilirubinemia (jaundice) assessment. In addition, we offer social work services to address areas including crisis intervention and nutrition therapy services for patients with special medical needs such as diabetes and congestive heart failure. Healtheast palliative care provides home health care to those with advanced chronic illnesses, such as cancer, heart, lung, liver or neurological disease. Aggressive symptom management is provided along with the support of the body, mind and spirit. Health alert is an in-home emergency response system that allows customers to live independently in their home with direct access to emergency assistance.
