The board of trustees may designate an executive committee composed of at least three trustees. The executive committee has the authority of the board of trustees in the management of the business of the organization in the interval between meetings of the board of trustees, and the executive committee is at all times subject to the control and direction of the board of trustees.

The chair of the minnesota public radio board of trustees is an ex-officio member of the apmg board of trustees.

The form 990 is prepared under the direction of the audit committee of the organization's board of trustees and is made available to each member of the board prior to filing with the irs.

The organization surveys its officers, trustees, and key employees annually for potential conflicts of interest. The surveys are analyzed and inform transactions and voting in order to avoid actual conflicts of interest. The organization's conflict of interest policy covers (a) trustees, (b) a trustee or director of a related organization (within the meaning of minnesota statutes, section 317a.011, subdivision 18), or (c) an organization in or of which a trustee is a director, officer or legal representative or has a material financial interest. Transactions may be authorized if the material facts as to the contract or transaction and as to the trustee's interest are fully disclosed or known to the board of trustees, and the board of trustees authorizes, approves, or ratifies the contract or transaction in good faith by the affirmative vote of a majority of the trustees (without counting the interested trustee), at a meeting at which there is a quorum (without counting the interested trustee). The personnel and compensation committee (pcc) of the board reviews the compensation and benefits plans of apmg on an annual basis, including the group's compensation philosophy, health care plan, executive benefits and savings and retirement plans, and other benefits. The pcc sets the compensation for the ceo of apmg, approves the ceo's recommendations for compensation for the coo, and reviews compensation for other officers, including the president of csf. Towers perrin is the committee's compensation consultant of record. The organization subscribes to several market data sources to ensure market-competitive pay practices. The pcc establishes an annual at-risk compensation plan to enable the participating organizations of apmg to attract, retain and motivate key management talent by providing total compensation that is competitive with the market and has the following objectives: - focus management efforts on key annual financial and strategic results. - encourage teamwork and individual performance by providing at-risk compensation related to the achievement of apmg goals, as well as individual and departmental performance objectives.

Financial Statement Notes

PART V, LINE 4:

From the proceeds of past successful business ventures the apmg board of trustees created a quasi-endowment for the benefit of minnesota public radio (the earned endowment). The earned endowment policy provides an annual draw of 5.0 percent of the five-year average market value of the earned endowment's assets, wihch is granted to minnesota public radio to support its program services. Apmg also manages a contributed endowment (the william h. Kling founders endowment for the creative advancement of public media) for the support of public media initiatives of certain affiliates. The contributed endowment follows the same policy as the earned endowment on behalf of apmg's affiliates.

PART X, LINE 2:

Apmg is organized under chapter 317 of minnesota statutes as a not-for-profit organization. The internal revenue service (irs) has determined that apmg is a tax-exempt organization under section 501(c)(3) of the internal revenue code (the code) and is not a private foundation, as it qualifies under section 509(a)(3) of the code. The minnesota department of revenue has determined that apmg is exempt from minnesota income taxes under section 290.05 subdivision 9 of minnesota statutes. Clearspring is a wholly owned, taxable, for-profit subsidiary of apmg. Apmg and its not-for-profit affiliates are engaged in certain activities that result in taxable unrelated business income. Apmg and its not-for-profit affiliates recorded a tax expense of $51,000 for the year ended june 30, 2016, which is included in selling, general and administrative expenses on the consolidated statement of activities. The provision for income taxes was determined using the asset and liability approach of accounting for income taxes. Deferred tax assets and liabilities are recognized using enacted tax rates for expected future tax consequences of events recognized in the financial statements or tax returns. The provision for income taxes represents income taxes paid or payable for the current year plus the change in deferred taxes during the year. Valuation allowances are recorded to reduce deferred tax assets when it is more likely than not that a tax benefit will not be realized. The allowance at june 30, 2016 was approximately $4,729,000. The organization and its affiliates have adopted certain provisions of asc topic 740, income taxes. The provisions clarify the accounting for uncertainty in income taxes recognized in an organization's financial statements and prescribe a recognition threshold and measurement standard for the financial statement recognition and measurement of an income tax position taken or expected to be taken in a tax return. The organization has reviewed its tax position for all open tax years and has concluded that there are no uncertain tax positions that require recognition.
