Governance Explanations

Form 990, Part VI, Section B, line 11

Form 990 and required schedules are sent to the Organization's Development and Governance Committee (OD&G) of the Board of Directors for review. Among the responsibilities of the OD&G is the provision of oversight to all agency financial matters. The Treasurer of the Organization is the Chair of this committee. Form 990 is provided to the Board prior to filing.

Form 990, Part VI, Section B, line 12C

Board members are asked to review the policy, provide potential conflicts and sign off on an annual basis. These disclosures are reviewed by the Executive Director and his assistant. Whenever there is reason to believe that an actual or potential conflict of interest exists between Little City for Community Development and a Director or Staff Member, the Board of Directors determines the appropriate organizational response. Where an actual or potential conflict exists between the interest of Little City for Community Development and a Director or Staff Member with respect to a specific proposed action or transaction, Little City for Community Development shall refrain from the proposed action or transaction until such time as the proposed action or transaction has been approved by the disinterested members of the Board of Directors. The Director or Staff Member shall not participate in any way in, or be present during, the deliberations and decision making of Little City Foundation with respect to such action or transaction. However, the Director or Staff Member may, upon request, be available to answer questions or provide material factual information about the proposed action or transaction.

Form 990, Part VI, Section B, line 15

All compensation is paid by related organization Little City Foundation. On an annual basis, an independent consultant provides compensation survey results to select board members on the Human Resources Subcommittee of the OD&G Committee and to the Executive Committee of Little City Foundation. Survey results are used to establish the compensation level for the Executive Director and key employees. The survey results, recommendations from compensation consultants, and compensation decisions of the board members are documented and maintained.

Financial Statement Notes

Part X, Line 2:

Little City for Community Development ("Little City") is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code and applicable state law. Accordingly, no provision for such taxes has been recognized in these financial statements. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, Little City may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of Little City and various positions related to the potential sources of unrelated business income tax (UBIT). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Little City has reviewed the tax positions for the open tax years (current and prior three tax years) and has concluded that no provision for income tax is required in the financial statements. As of June 30, 2015, there were no unrecognized tax benefits identified or recorded as liabilities. Forms 990 filed by Little City are subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Forms 990 filed by Little City are no longer subject to examination for fiscal years before 2012.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0Little City for Community Development ("Little City") is exempt from federal income taxes under Section 501(c)(3) of the Internal Revenue Code and applicable state law. Accordingly, no provision for such taxes has been recognized in these financial statements. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under this guidance, Little City may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities, based on the technical merits of the position. Examples of tax positions include the tax-exempt status of Little City and various positions related to the potential sources of unrelated business income tax (UBIT). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50 percent likelihood of being realized upon ultimate settlement. The guidance on accounting for uncertainty in income taxes also addresses de-recognition, classification, interest and penalties on income taxes, and accounting in interim periods. Little City has reviewed the tax positions for the open tax years (current and prior three tax years) and has concluded that no provision for income tax is required in the financial statements. As of June 30, 2015, there were no unrecognized tax benefits identified or recorded as liabilities. Forms 990 filed by Little City are subject to examination by the Internal Revenue Service (IRS) up to three years from the extended due date of each return. Forms 990 filed by Little City are no longer subject to examination for fiscal years before 2012.
