“On February 1, 2009, PTI began using a management company, Advancing Organizational Excellence (formerly Creative Association Management) to perform management duties customarily performed by or under direct supervision of officers, directors, or key employees.”

“Members are individuals and companies that are in the business of providing products and services related to post-tensioning construction who represent different groups. These groups include post-tensioning companies, prestressing steel manufacturers, engineering consultants, installation companies, vendors and other professionals.”

“Each post-tensioning company automatically has one representative on the Board. Members of other membership categories, including: Prestressing Steel Suppliers, Associates, Affiliates, Installing Companies, Consulting Companies and Professional Members nominate persons to represent their groups on the Board. The nominations are then presented to the Board. At the Board meeting, a director will put forth a motion that the nominee(s) for each membership category be elected to serve on the Board of Directors. The Board then votes to formally approve their appointment. The Board of Directors elects an Executive Committee which meets periodically to work on the Board of Directors' behalf. Any decisions or activities of the Executive Committee are presented to the Board of Directors. A legal counsel is present at all meetings to ensure that by-laws and other legal requirements are not violated.”

“A person or persons in position of authority in the Post-Tensioning Institute (PTI) must avoid and disclose resolutions, decision, or policies made in the capacity that may benefit them individually and to the detriment of PTI and other members of PTI. This conflict of interest policy of PTI:1)Defines conflicts of interest, 2)Identifies classes of individuals within PTI covered by this policy, 3)Facilitates disclosure of information that may help identify conflicts of interest, 4)Specifies procedures to be followed in managing conflicts of interest. 1 Definition of conflicts of interest: A conflict of interest arises when a person in a position of authority over PTI may benefit financially from a decision he or she could make in that capacity, including indirect benefits such as to family members or businesses with which the person is closely associated. This policy is focused upon material financial interest of or benefit to such persons. 2. Individuals covered: Persons covered by this policy are the PTI officers, directors, the executive director, the technical director and Chief employed finance executive. 3. Facilitation of disclosure: Persons covered by this policy will annually disclose or update to the President of the Board of Directors on a form provided by PTI, their interests that could give rise to conflicts of interest, such as a list of family members, substantial business or investment holdings, and other transactions or affiliation with businesses and other organizations or those family members. 4. Procedures to manage conflicts: For each interest disclosed to the President of the BOD, the President will determine whether to A)Take no action, B)assure full disclosure to the BOD and other individuals covered by this policy, C)ask the person to recuse from participation in related discussions or decisions with PTI, or D)ask the person to resign from his or her position in PTI, or it the person refused to resign, become subject to possible removal in accordance with PTI's removal procedures. The PTI Executive Director and Chief Employed Finance Executive will monitor proposed or ongoing transactions for conflicts of interest and disclose them to the President of the BOD in order to deal with potential or actual conflicts, whether discovered before or after the transaction has occurred.”

“Compensation review and approval are determined by the management company which uses benchmarks of other non-profits.”
