Governance Explanations

Form 990, Part VI, Section A, Line 1

The executive committee shall number eight and shall include the president, the president designate, the immediate past president, the secretary/treasurer, one student director, and one resident physician director. The officers and the executive committee shall be elected by the board at its annual meeting. Between meetings of the board, the executive committee shall have and excercise all of the authority of the board in the management of corporation, except to the extent, if any that such authority shall be limited by resolution of the board and by section 5.6 of the bylaws. The delegation of authority to the executive committee shall not relieve the directors of any responsibility imposed upon them by law. The finance and audit committee shall be chaired by the secretary/treasurer of the organization and include other board members elected by the board of directors. The finance and audit committee shall have responsibility for oversight of the organization's financial reporting and investment procedures, the annual audit of the organization's finances, monitoring liability and other insurance coverage for the organization and its directors and officers, and ensuring compliance with applicable federal, state, and local laws and regulations.

A draft of the form 990 will be provided to each member of the board for review and to request changes prior to filing.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement substantially in the form attached hereto which affirms such person: a) has received a copy of the conflicts of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy; and d) understands national resident matching program is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.

Form 990, Part VI, Section B, Line 15

The exectutive director's salary, salary increases, benefits and/or bonuses shall be set forth by a compensation committee comprised of the president, president-designate, and past president of the board of the national resident matching program. A compensation review was performed by nonprofit hr solutions to determine a range with which the compensation committee negotiated a contract. Both parties were represented by legal counsel. The last set of raises was effective january 1, 2013. For other employees of the organization, nonprofit hr solutions performed a market analysis to determine compensation ranges for each position. They analyzed job content data and conducted a market pay analysis benchmarking other non-profits and the washington d.c. Area with a similar budget size to develop competitive market pay rates.
