“The executive committee shall number eight and shall include the chair, the chair designate, the immediate past chair, the secretary/treasurer, one student director, and one resident physician director. The officers and the executive committee shall be elected by the board at its annual meeting. Between meetings of the board, the executive committee shall have and exercise all of the authority of the board in the management of corporation, except to the extent, if any, that such authority shall be limited by resolution of the board and by section 5.6 of these bylaws. The delegation of authority to the executive committee shall not relieve the directors of any responsibility imposed upon them by law. The finance and audit committee shall be chaired by the secretary/treasurer of the organization and include other board members elected by the board of directors. The finance and audit committee shall have responsibility for oversight of the organization's financial reporting and investment procedures, the annual audit of the organization's finances, monitoring liability and other insurance coverage for the organization and its directors and officers, and ensuring compliance with applicable federal, state, and local laws and regulations.”

“A draft of the form 990 will be provided to each member of the board for review and to request changes prior to filing.”

“Each director, principal officer and member of a committee with governing board delegated powers shall annually sign a statement which affirms such person: a) has received a copy of the conflicts of interest policy; b) has read and understands the policy; c) has agreed to comply with the policy; and d) understands national resident matching program is charitable and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax-exempt purposes.”

“The president's salary, salary increases, benefits and/or bonuses shall be set forth by a compensation committee comprised of the chair, chair elect, and past chair of the board of the national resident matching program. A compensation review was performed by nonprofit hr solutions to determine a range with which the compensation committee negotiated a contract. Compensation was reviewed by a compensation consultant with nonprofit hr solutions in the fall of 2015. They benchmarked each position against market salary data using surveys of similar sized organizations in a similar industry and location. They provided a report with findings and recommendations, including an updated salary structure. This was reviewed and finalized by management. The senior team and ceo positions were included in this review.”

“The organization does not make its governing documents, conflict of interest policy, and financial statements available to the public.”
