Voted to increase the number of trustees & changed when a new trustee could join the board

Form 990, Part VI, Section B, Line 11B

Prior to filing, copies of the completed draft form 990 (including required schedules) were distributed to the audit committee in either electronic or paper form for review and approval. Any questions or concerns were noted and addressed, and management staff ensured that changes were incorporated into the form 990 as appropriate. Copies of the draft form 990 were also distributed to the board of trustees in electronic form for review and approval. The form 990 will be filed once a motion to approve has been passed by the board of trustees.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers all officers, directors, trustees, and key employees. These individuals are required to complete a conflict of interest questionnaire to disclose any potential or actual conflicts of interest they may have with the organization. Conflict of interest questionnaires are completed on an annual basis by all interested persons. Completed conflict of interest questionnaires will be reviewed by the organization's compliance officer (or chairman). If it is determined an actual conflict of interest exists, the individual with a conflict will be excused from any discussion or vote on the matter for which they have a conflict.

Form 990, Part VI, Section B, Line 15

In 2024 (the most recent presidential search), the university's board of trustees used an outside consulting firm (agb) as advisors. The president's salary and benefits were set in consultation with agb. After the search the board authorized its chairman to negotiate the contract with the chosen candidate. The university was advised by agb that the contract terms were at market. The final contract was approved by the board. Following board approval the chairman executed the contract on behalf of the university. Form 990, part vi, section b, line 15b: the president, in consultation with the office of human resources, sets compensation following a review of (a) comparable compensation data from similiarly situated colleges and universities; (b) in relation to the nature and scope of the duties assigned.

PART X, LINE 2:

The university is a not-for-profit organization and is exempt from federal and state income tax under section 501(c)(3) of the internal revenue code and similar provisions of the state tax code. The university is not classified as a private foundation. The university follows guidance issued by the financial accounting standards board (fasb) on accounting for income taxes and has evaluated its tax positions, expiring statutes of limitations, audits, proposed settlements, changes in tax law and new authoritative rulings, and believes that no provision for income taxes is necessary to cover any uncertain tax positions. The university's return for tax years 2020 and later remain subject to examination by taxing authorities.
