Governance Explanations

Form 990, Part VI, Section B, Line 11

Prior to filing, copies of the completed draft form 990 (including required schedules) will be distributed to the audit committee in either electronic or paper form for review and approval. Any questions or concerns will be noted and addressed, and management staff will ensure that changes are incorporated into the form 990 as appropriate. Copies of the draft form 990 will then be distributed to the board of trustees in either electronic or paper form for review and approval. Board members will be provided with at least five business days to review the form. The form 990 will be filed once a motion to approve has been passed by the board of trustees.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy covers all officers, directors, trustees, and key employees. These individuals are required to complete a conflict of interest questionnaire to disclose any potential or actual conflicts of interest they may have with the organization. Conflict of interest questionnaires are completed on an annual basis by all interested persons. Completed conflict of interest questionnaires will be reviewed by the organization's compliance officer (or chairman). If it is determined an actual conflict of interest exists, the individual with a conflict will be excused from any discussion or vote on the matter for which they have a conflict.

The university's independent executive committee of the board of trustees utilizes comparability data from compensation surveys and studies to determine, evaluate and adjust the compensation of the organization's top management official, the president, on a contract basis. The compensation package is subject to the full executive committee's review and approval and documented in a written employee contract. Deliberations and decisions regarding the compensation package are documented in the minutes of the meeting. Compensation for other officers (form 990, part vi, section b, line 15b): the president, in consultation with the office of human resources, sets compensation following a review of (a) comparable compensation data from similiarly situated colleges and universities; (b) in relation to the nature and scope of the duties assigned. Faculty compensation is based on collective bargaining agreement which is renewed every three years.

Financial Statement Notes

PART V, LINE 4:

The purpose of the endowment fund is to facilitate donors' desires to make substantial long-term gifts to the community and to develop a new and significant source of revenue for the university. In so doing, the endowment fund will provide a secure, long-term source of funds to 1) stabilize agency funding during periods of below normal annual campaigns, 2) fund special grants 3) ensure long-term growth 4) enhance our ability to meet changing community needs in both the short and long-term, and, 5) support the administrative expenses of the university as deemed appropriate.

PART X, LINE 2:

The university is exempt from federal income taxes under the provisions of section 501(c)(3) of the internal revenue code. The university determined that is was not required to record a liability for any uncertain tax positions as of june 30, 2015. The federal and statetax returns of the university for 2012, 2013 and 2014 are subject to examination by the internal revenue service and state taxing authorities, generally for three years after they were filed.

BASED ON FALL SEMESTER STATISTICS, FULL-TIME EQUIVALENT STUDENTS ("FTES") ENROLLED IN THE UNIVERSITY IN THE 2016 FISCAL YEAR AT THE UNDERGRADUATE LEVEL WERE 2,806 AND AT THE GRADUATE LEVEL WERE 499, HEADCOUNTS WERE 2,998 FOR UNDERGRADUATE AND 951 FOR GRADUATE. DURING THE FISCAL YEAR 2015, FALL SEMESTER FTE'S AT THE UNDERGRADUATE LEVEL WERE 2,793 AND AT THE GRADUATE LEVEL WERE 572, HEADCOUNTS WERE 2,974 FOR UNDERGRADUATE AND 1,099 FOR GRADUATE. ADDITIONALLY, DURING THE 2016 FISCAL YEAR, THE UNIVERSITY'S FACULTY CONSISTED OF 181 FULL-TIME EMPLOYEES (FTE'S). COMPARABLE COUNTS FOR FISCAL YEAR 2015 WERE 190 FULL-TIME. SAINT XAVIER UNIVERSITY'S FULL-TIME UNDERGRADUATE ENROLLMENT (HEADCOUNT) RANGED FROM 2,382 TO 2,615 BETWEEN 2005-2015, AND EIGHT NEW FACILITIES WERE ADDED OVER THE LAST TEN YEARS. WITH 39 UNDERGRADUATE DEGREE PROGRAMS AND OVER 40 GRADUATE PROGRAM OPTIONS IN THE COLLEGE OF ARTS AND SCIENCES, THE SCHOOL OF EDUCATION, THE SCHOOL OF NURSING, THE GRAHAM SCHOOL OF MANAGEMENT, AND THE SCHOOL FOR GRADUATE AND CONTINUING EDUCATION, SAINT XAVIER OFFERS A FIRM FOUNDATION IN THE LIBERAL ARTS ALONG WITH SOLID CAREER PREPARATION.
