There are no board committees with the authority to act on behalf of the governing body.

Form 990, Part VI, Section B, Line 11B

The Form 990 was prepared by the organization's accountant in consultation with the organization's executive director and treasurer who assisted in reviewing the form prior to submission. The organization provides a full draft of Form 990 to all board members prior to filing. Board members have an opportunity to provide input and ask questions about the 990 prior to filing.

Form 990, Part VI, Section B, Line 12C

The organization does have a written conflict of interest policy that addresses potential conflicts of interest by members of the board of directors, key employees and their relatives. Under this policy, these persons must disclose any potential conflicts of interest and abstain from voting if there is a potential conflict of interest. If new conflicts arise, these persons are required to disclose these conflicts to the board of directors in a timely manner.

Form 990, Part VI, Section B, Line 15

Compensation for the organization's Executive Director is determined through assessment, deliberation and decision by the entire board. The assessment is made annually when the board approves the organization's annual budget. The board attempts to provide an appropriate level of compensation in consideration of the organization's anticipated income and expenses for the coming year. The organization does not currently include a review or approval by independent persons or review comparability data. We intend to formalize a compensation policy in the coming fiscal year.

IRS990/Desc0The People's Harm Reduction Alliance (PHRA) is a community-centered-and-integrated nonprofit that has provided culturally relevant drug user health and harm reduction services since 2007. We focus on protecting the health of people who use drugs, including stopping the spread of bloodborne infections and preventing drug overdose. We logged over 27,000 participant encounters last year between our two "brick-and-mortar" fixed-site Seattle locations, our multiple outreach van routes throughout King and Kitsap counties, and our statewide Naloxone mail-order program. PHRA annually distributes over 2 million sterile syringes; nearly 30,000 doses of Naloxone; and over 8,000 fentanyl test strips. Additionally, we provide a wide variety of other supplies, healthcare services, and referrals to help people who use drugs lead safer and healthier lives.
