Governance Explanations

The board members meet quarterly with management. Financial statements are reviewed and approved. Following the bylaws, policy and procedure motions are voted on.

The board must approve certain contracts and purchases based on a dollar tolerance as implemented in the policies of the organization.

The form 990 is sent to the board to review and if the board members have questions the preparer of the form 990 will present and respond to questions.

Form 990, Part VI, Section B, Line 12C

The compliance officer of InteCare is responsible for monitoring the process. All members of the board and employees are required to annually submit a conflict of interest form identifying conflicts.

Form 990, Part VI, Section B, Line 15A

On an annual basis, the board and management staff meet to discuss and plan key strategies and priorities for the upcoming year. In the annual plan, milestones are identified for the CEO and key staff. At the conclusion of each year, the board meets with the CEO and reviews progress made in meeting the priorites and evaluates them based on accomplishments. Compensation for the CEO is based on those accomplishments. The CEO meets with the COO and provides an identical review in determining compensation. Additionally, the Organization as a whole has a board approved bonus and incentive plan that is evaluated annually.

Financial Statement Notes

Part X : FIN48 Footnote

The organization has been granted exemption from taxation as a not-for-profit organization under Section 501(c)(3) of the U.S. Internal Revenue Code and a similar provision of state law. The organization did not have any unrelated business income during the years ended June 30, 2024 and 2023, and therefore, no provision for federal or state income taxes has been made in the accompanying financial statements.The organization has evaluated its tax position for all open tax years. Currently, the tax years open and subject to examination by the Internal Revenue Service are 2021, 2022, 2023 and 2024 tax years. However, the Agency is not currently under audit nor has it been contacted by any jurisdictions. Based on the evaluations of the Organization's tax positions, management believes all tax positions taken would be upheld under an examination. Therefore, no provision for the effects of uncertain tax positions have been recorded for the years ended June 30, 2024 and 2023.

The organization did not have any unrelated business income during the years ended June 30, 2024 and 2023, and therefore, no provision for federal or state income taxes has been made in the accompanying financial statements.The organization has evaluated its tax position for all open tax years. Currently, the tax years open and subject to examination by the Internal Revenue Service are 2021, 2022, 2023 and 2024 tax years. However, the Agency is not currently under audit nor has it been contacted by any jurisdictions. Based on the evaluations of the Organization's tax positions, management believes all tax positions taken would be upheld under an examination. Therefore, no provision for the effects of uncertain tax positions have been recorded for the years ended June 30, 2024 and 2023.
