Indianapolis downtown, inc. (idi) exists to improve downtown indianapolis. It is action-oriented and addresses critical issues that affect downtown growth and well-being. Idi was established to continue the economic, social, and cultural development in downtown indianapolis by educational, scientific, and charitable means. Idi serves the general public in the city of indianapolis, indiana.

Form 990 is prepared by idi staff and independent accountants and submitted to the idi finance & audit committee of the idi board of directors. The finance & audit committee reviews and approves form 990 and submits it to the board of directors for approval. The board of directors reviews and approves form 990 before filing.

Form 990, Part VI, Sec B, Line 12C, Conflict of interest policy

All board members and employees individually complete conflict of interest statements annually. The president and board chair review and analyze all statements for potential conflicts. Conflicts are appropriately noted as business is conducted with these individuals. Internal controls require a hierarchy of approvals for expenses before incurred. This affords a cross check for the appropriateness of the transaction. If any conflict is identified in board or committee action, the board or committee member refrains from voting.

Form 990, Part VI, Sec B, Line 15A, Process to establish compensation of top management official

The executive committee of the board of directors is authorized to serve as the compensation committee by the board of directors. The executive committee annually evaluates the president's performance based on established performance objectives. The committee reviews local and national comparable data for private, public and not-for-profit positions of similar skills and tenure including comprehensive data compiled and provided regularly by an independent third party. The executive committee approves compensation adjustments for the president and reviews with the board of directors. The deliberations and decisions are documented in the committee minutes. Individuals who have an actual or potential conflict of interest with respect to the compensation adjustments agreement do not participate in the deliberations. The executive committee and board document the basis for its determination and procedure. This process was last undertaken in 2013.

The executive committee and board of directors also annually review and approve compensation adjustments for all idi employees and officers following a similarly deliberative process as described above. The president prepares individual employee compensation adjustment recommendations based on the organization's documented evaluation system and comparable data provided regularly by an independent third party. Recommendations are within a total compensation amount defined by the idi finance committee. The executive committee reviews and approves the compensation adjustment and reviews with board of directors. The deliberations and decisions are documented in the committee minutes. This process was last undertaken in 2013.

Indianapolis downtown, inc. (idi) and its related organization, indianapolis downtown marketing, inc. (idmi), represent a public private partnership. Idi is contracted by the city of indianapolis to perform specific services consistent with idi's mission to improve downtown. These services include strategic oversight, community development, security, parking/rights-of-way management and beautification. Private sector and other non-public revenues provide additional funding to idi and idmi to carry out services to improve downtown. These private and other non-public revenues comprise 81% of idi and idmi's consolidated budget. Idi also serves as the fiscal agent for a task force of public and private sector partners who contract for pest bird mitigation.

Indianapolis downtown, inc. (idi) is reimbursed by indianapolis downtown marketing, inc. (idmi), a related organization, for compensation of idi employees focused on implementing idmi duties.

Schedule D, Part IV, Line 2B, Explanation of escrow agreement

Indianapolis downtown, inc. (idi) serves as the fiscal agent for the pest bird task force (task force), which consists of property owners and building managers in downtown indianapolis, in. The task force has contracted with the usda to monitor and relocate the pest birds in downtown indianapolis, in. Idi collects donations from members of the task force, and will pay the usda for their services. Idi has no obligation to the task force or the usda beyond holding of the funds.

Idi is exempt from income taxes on income from related activities under section 501(c)(3) of the u.s. Internal revenue code and corresponding state tax law. Accordingly, no provision has been made for federal or state income taxes. Additionally, neither idi nor idmi has been determined to be a private foundation under section 509(a) of the internal revenue code. The organization has adopted accounting guidance related to accounting for uncertainty in income taxes. This guidance requires the organization to recognize a tax benefit only if it is more likely than not the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount that would be recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the more-likely-than-not test, no tax benefit is recorded. The organization has examined this issue and has determined there are no material contingent tax liabilities or questionable tax positions. The organization is no longer subject to examination by taxing authorities for years before 2010. The organization does not expect their position of no material contingent tax liabilities to change in the next 12 months. The organization recognizes interest and/or penalties related to income tax matters in income tax expense. The organization did not have any amounts accrued for interest and penalties at december 31, 2013 and 2012.
