“Indianapolis Downtown, Inc. (IDI) has no employees. The organization's President and Vice President are employees of and paid by Indianapolis Downtown Marketing, Inc. (IDMI), a related organization. Since the organization does not compensate these employees, these questions are not applicable and have been answered no per the instructions.”

“As stated in Section 2.11 (Executive Committee) of the Bylaws, "The Executive Committee shall have and exercise, during intervals between the meetings of the Board of Directors, all powers vested in the Board of Directors."”

“Form 990 is prepared by IDI staff and independent accountants and submitted to the IDI Finance & Audit Committee of the IDI Board of Directors. The Finance & Audit Committee reviews and approves Form 990 and submits it to the Board of Directors for approval. The Board of Directors reviews and approves Form 990 before filing.”

“All Board Members and employees individually complete conflict of interest statements annually. The President and Board Chair review and analyze all statements for potential conflicts. Conflicts are appropriately noted as business is conducted with these individuals. Internal controls require a hierarchy of approvals for expenses before incurred. This affords a cross check for the appropriateness of the transaction. If any conflict is identified in Board or Committee action, the Board or committee member refrains from voting.”

“The organization's governing documents, conflict of interest policy, and financial statements are available to the public upon request.”

“The two following programs are no longer being conducted under Indianapolis Downtown, Inc. (IDI). Instead, these are now program service accomplishments of Indianapolis Downtown Marketing, Inc. (IDMI), a related organization. IDI assists the City of Indianapolis and others with planning and community development efforts. Efforts include reducing blight in and surrounding downtown. IDI exists to continually improve downtown. Program support includes expenses necessary to facilitate IDI's services and programs that improve downtown. These expenses include information and financial management, occupancy, computers, insurance, training and other general office needs. Program support expenses could justifiably be considered part of management services and planning & development costs and allocated accordingly. Program support expenses also facilitate services and programs of IDMI, a related organization. These costs are offset by a corresponding payment from IDMI.”

“Indianapolis Downtown, Inc. (IDI) and its related organization, Indianapolis Downtown Marketing, Inc. (IDMI), represent a public private partnership. IDI is contracted by the City of Indianapolis to perform specific services consistent with IDI's mission to improve downtown. These services include strategic oversight, community development, security, parking/rights-of-way management and beautification. Private sector and other non-public revenues provide additional funding to IDI and IDMI to carry out services to improve downtown. These private and other non-public revenues comprise 81% of IDI and IDMI's consolidated budget. IDI also serves as the fiscal agent for a task force of public and private sector partners who contract for pest bird mitigation.”
