“The executive committee of the board of directors has negotiated a management contract with an independent contractor. The management company's fees have been based on comparable compensation information. The management company's fees have been based on comparable compensation information. The term of the contract is for three years however, either party may terminate the agreement without cause by giving 90 days written notice and upon 14 days notice in the event of default as defined in the agreement.
