DELEGATION OF CERTAIN MANAGEMENT DUTIES: FORM 990, PART VI, LINE 3:

Chagrin realty delegated certain duties to the centers for dialysis care, inc., a related organization of chagrin realty's sole member, the leonard c. Rosenberg renal research foundation. The centers for dialysis care, inc. Provides financial record keeping services as well as the preparation of financial statements for chagrin realty.

The monitoring and enforcement of the conflict of interest policy is overseen by the governance committee of the board of chagrin realty's sole member. When a conflict arises, the individual is not permitted to vote or participate in the discussion of the transaction. Persons that are independent of the individual with the conflict make the decision about the transaction. The deliberations and decision are documented in the minutes of the board.

THE FOLLOWING FOOTNOTE IS INCLUDED IN THE COMBINED FINANCIAL STATEMENTS AND REFERS TO ALL ENTITIES INCLUDED IN THAT COMBINED REPORT AS "THE FOUNDATION": The Foundation is a charitable corporation engaged in various research and other projects. Community Dialysis Center ("CDC"), as sole member, established the Foundation in July 1991. The Foundation is tax exempt under Section 501(c)(3) of the Internal Revenue Code. The Foundation is sole member of MOTTEP, a charitable supporting organization engaged in educating the community on the benefits of organ donation. MOTTEP is tax exempt under Section 501(c)(3) of the Internal Revenue Code. The Foundation is also sole member of Chagrin, a real estate holding company organized to hold property on behalf of the Foundation. Chagrin is tax exempt under Section 501(c)(2) of the Internal Revenue Code. The Foundation does not have any significant unrecognized tax benefits as of December 31, 2013. The Foundation's income tax years from 2010 and thereafter remain subject to examination by the Internal Revenue Service.

Community Dialysis Center ("CDC"), as sole member, established the Foundation in July 1991. The Foundation is tax exempt under Section 501(c)(3) of the Internal Revenue Code. The Foundation is sole member of MOTTEP, a charitable supporting organization engaged in educating the community on the benefits of organ donation. MOTTEP is tax exempt under Section 501(c)(3) of the Internal Revenue Code. The Foundation is also sole member of Chagrin, a real estate holding company organized to hold property on behalf of the Foundation. Chagrin is tax exempt under Section 501(c)(2) of the Internal Revenue Code. The Foundation does not have any significant unrecognized tax benefits as of December 31, 2013. The Foundation's income tax years from 2010 and thereafter remain subject to examination by the Internal Revenue Service.
