Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The 990 return is prepared by an outside accounting firm. The 990 is then reviewed by the executive director and then sent to the audit/finance committee. The 990 is then sent to the full board for review prior to being filed.

Form 990, Page 6, Part VI, Line 12C

It is the responsibility of any director to notify the board chair of a potential conflict of interest, whether real or perceived annually. Each board director is required to submit a signed conflict of interest disclosure form. Each director shall indicate the nature and financial impact of any conflict of interest.

Form 990, Page 6, Part VI, Line 15A

The process of determining compensation of the executive director includes the following elements; review and approval, use of data as to comparable compensation, and contemporaneous documentation and recordkeeping. The compensation of the executive director is reviewed and approved by the board of directors of the ohio domestic violence network on an annual basis. Persons with conflicts of interest with respect to the compensation arrangement at issue are not involved in this review and approval. The compensation of the executive director is reviewed and approved using data as to comparable compensation for similarly qualified persons in functionally comparable positions at similarly situated organizations, such as the national network to end violence salary survey of state coalition staff. There is also contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation arrangement that are made by the board of directors in executive session. Decisions are recorded in the minutes of the ohio domestic violence network board of directors meetings.

FORM 990 - ORGANIZATION'S MISSION

The purpose of the ohio domestic violence network is to support and represent member programs; insure the continuance of safe, effective services to victims of domestic violence through training, technical assistance and advocacy to member programs and allied professionals; effect social and institutional change through influencing public policy; advocating for victims of domestic violence; creating partnerships with governmental and non-governmental agencies; and promoting public awareness and education.

Form 990, Page 2, Part III, Line 4A

Includes on-site and telephone consultation to domestic violence providers and allied professionals.

Form 990, Page 12, Part XII, Line 2C

Ohio domestic violence network has an audit committee that assumes responsibility for oversight of the audit and selection of the independent accountant. The process by which the audit committee oversees the audit and selects the independent accountant has not changed from prior years.

Financial Statement Notes

Schedule D, Page 3, Part X

The organization follows fasb asc 740-10-65, regarding uncertainty in income taxes. The organization evaluates all tax positions in conformity with fasb asc 450 for contingencies, and as such would reserve for any tax positions deemed probable of not being sustained by the irs. The organization recognizes tax benefits only to the extent that the organization believes it is "more likely than not" that its tax positions will be sustained upon irs examination. The organization does not have a provision for unpaid federal income taxes (liability for unrecognized tax benefits) related to uncertain tax positions in the balance sheet, as it believes all tax positions taken would "more likely than not" be sustained upon irs examination.
