Governance Explanations

Form 990, Page 6, Part VI, Line 3

Management of the european operations of the global technology distribution council is delegated to peter van den berg, who is an independent consultant. Peter van den berg operates under the direct supervision of the ceo of the council.

Form 990, Page 6, Part VI, Line 4

Members of the global technology distribution council with revenue exceeding certain thresholds may appoint two members to the board instead of only one member. In 2021 the bylaws were amended to increase the revenue threshold from 2 billion to 10 billion for members headquartered in north american and to 5 billion for members headquartered outside of north america.

Form 990, Page 6, Part VI, Line 6

The global technology distribution council represents a consortium of the world's largest wholesale information technology distributors. The member companies of the council are representative of the industry as a whole.

Form 990, Page 6, Part VI, Line 7A

Each member company appoints one voting member to the board of the council. Member companies headquartered in north america with sales in excess of 10 billion and member companies headquartered outside of north america with sales in excess of 5 billion can appoint two voting members to the board.

Form 990, Page 6, Part VI, Line 11B

Wells, houser, & schatzel, p.a. Prepares the tax return for global technology distribution council. The council's ceo and internal accountant review the form 990 and the return is then distributed to all voting members for comments prior to the return being filed.

Form 990, Page 6, Part VI, Line 12C

The board of the global technology distribution council adopted its current conflict of interest policy in september 2009. Each board member receives a copy of the policy and shall agree to comply with the policy and notify the ceo of gtdc of any situations within gtdc or activities of the board that could possibly lead to conflicts of interest. Each potential conflict of interest is carefully examined and a written record is maintained of the disclosed conflict of interest and any actions or determinations made as a result of that disclosure.

Form 990, Page 6, Part VI, Line 15A

The compensation of the ceo for the council is approved by the board and is determined by comparing salary data of other similar not for profit information technology organizations.

Form 990, Page 6, Part VI, Line 19

The council makes its governing documents, and financial statements available for public inspection upon request.
