Governance Explanations

Form 990, Part VI, Section B, Line 11B

The annual audit is approved by the Board of Directors and the CEO. Form 990 is prepared from the audited figures. FY19-20 audit was conducted through March, 2020 due to CEO retiring after 15 years of employment. Signed Form 990 is electronically made available to all board members.

Form 990, Part VI, Section B, Line 12C

Each board member is annually required to complete the conflict of interest form. Additionally the Finance Committee members are also required to comple the form. SCEDC has a policy in place that allows for abstentions and recussals when members have conflict.
