Mission

Irvine spectrum transportation management association (the "association") was formed in 1986 under the laws of the state of california as a general nonprofit corporation and has obtained exemption under section 501(c)(4) of internal revenue code. The association serves a geographic area better known as "irvine spectrum". It is comprised of approximately 2,600 acres and is home to over 3,800 companies employing in excess of 80,000 people. The association was formed to facilitate employers, developers, building owners, local government representatives and others within irvine spectrum to work together and collectively establish policies, programs and services to address local transportation problems. No grants are provided to others.

Governance Explanations

Form 990, Page 6, Part VI, Line 11B

The executive director chooses the independent auditor in accordance with the associations purchasing procedure. The executive director can authorize operating expenses of 5,000 or less and contractual agreements of 5,000 or less with terms of one year or less. The executive committee of the board of directors (4 officers) meets to review the draft financial audit as presented by the independent auditor. The audited financial statements are then presented to the entire board of directors at a regularly scheduled meeting for approval. The executive director reviews the form 990 after preparation by the cpa consultant based on the information from the annual audit. Upon completion of review the executive director presents the form 990 to the board of directors.

The employees are expected to promote the best interests of the association at all times. Each as an obligation to avoid any activitiy, agreement, business investment or interest, or other situation which could be construed as a conflict with the association's best interests or as an interference with employee's duty to serve the association to the best of their ability. All potential conflicts are disclosed in advance to the executive director.

Each year, association staff completes an in-depth salary survey for the purpose of setting employee salary ranges and to determine the competitive nature of the associations benefits package. The association uses as its primary source of information the center for nonprofit managements compensation and salary survey for southern and central california. The results of the salary survey are presented to the executive committee of the board of directors who recommend salary ranges for all employee positions including the executive director. Employee salary ranges are detailed in the associations personnel and salary policy which is revised on an as needed basis by the full board of directors at a regularly scheduled meeting. The executive directors actual salary is determined by the executive committee of the board of directors using the board approved salary range. The executive directors performance is appraised annually by the executive committee as a group. As with all other employees, the executive directors annual salary increase is based solely on merit. At no time can the actual salary level exceed the upper level of the salary range regardless of the performance rating.
