Mission

Irvine spectrum transportation management association (the "association") was formed in 1986 under the laws of the state of california as a general nonprofit corporation and has obtained exemption under section 501(c)(4) of internal revenue code. The association serves a geographic area better known as "irvine spectrum". It is comprised of approximately 2,600 acres and is home to over 3,800 companies employing in excess of 80,000 people. The association was formed to facilitate employers, developers, building owners, local government representatives and others within irvine spectrum to work together and collectively establish policies, programs and services to address local transportation problems. No grants are provided to others.

The specific and primary purposes of the association are to bring about civic betterment and social improvements by providing for transportation management and services to promote ridesharing by its members' employees and tenants to address local transportation problems in the entire community on certain real property located in the geographic area of irvine, calif. Known as the irvine spectrum.among the general purposes is to promote the common good, health, safety, and general welfare of all drivers within the community. The area is comprised of approximately 1,700 acres and is home to over 3,800 companies employing in excess of 116,000 people. The association was formed to facilitate employers, developers, building owners, local government representative, and others within irvine spectrum to work together and collectively establish policies, programs, and services to reduce car traffic in the area.

Governance Explanations

Form 990, Part VI, Section B, Line 11B

The executive director reviews the form 990 after preparation by the cpa based on the information from the audit. Upon completion of the review, the executive director presents the form 990 to the board of directors.

Form 990, Part VI, Section B, Line 12C

The employees are expected to promote the best interests of the association at all times. Each has an obligation to avoid any activity, agreement, business investment or interest, or other situation which could be construed as a conflict with the association's best interest or as an interference with employees' duty to serve the association to the best of their ability. All potential conflicts are disclosed in advance to the executive director.

Form 990, Part VI, Section B, Line 15

Each year, association staff completes an in-depth salary survey for the purpose of setting employee salary ranges and to determine the competetive nature of the association's benefits package. The association uses as its primary source of information the center for nonprofit management's compensation and salary survey for southern and central california. The results of the salary survey are presented to the executive committee of the board of directors who recommend salary ranges for all employee positions including the executive director. Employee slary ranges are detailed in the association's personnel and salary policy which is revised on an as needed basis by the full board of directors at a regularly scheduled meeting. The executive director's actual salary is determined by the executive committee using the board approved salary range. The executive director's performance is appraised annually by the executive committee as a group. As with all other employees, the executive director's annual salary increase is based solely on merit. At no time can the actual salary level exceed the upper level of the salary range regardless of the performance rating.

Members receive governing documents of the corporation when they purchase a building in the community. This includes the cc&r's, bylaws, and articles, the most current budget, and financial statement which includes the audit.

PART X, LINE 2:

Management of the association has analyzed the tax positions taken and has concluded that as of june 30, 2023, there were no uncertain tax positions taken or expected to be taken, that would require recognition of a liability or disclosure in the financial statements. The association is subject to routine audits by the taxing jurisdictions; however, there are currently no audits for any tax periods in progress. The association is no longer subject to income tax examination for years prior to the year ended june 30, 2019.
