Irvine spectrum transportation management association (the "association") was formed in 1986 under the laws of the state of california as a general nonprofit corporation and has obtained exemption under section 501(c)(4) of internal revenue code. The association serves a geographic area better known as "irvine spectrum". It is comprised of approximately 2,600 acres and is home to over 3,800 companies employing in excess of 80,000 people. The association was formed to facilitate employers, developers, building owners, local government representatives and others within irvine spectrum to work together and collectively establish policies, programs and services to address local transportation problems. No grants are provided to others.

The executive director can authorize operating expenses of 5,000 or less and contractual agreements of 5,000 or less with terms of one year or less. The executive committee of the board of directors (4 officers) meets to review the draft financial audit as presented by the independent auditor. The audited financial statements are then presented to the entire board of directors at a regularly scheduled meeting for approval. The executive director reviews the form 990 after preparation by the cpa consultant based on the information from the annual audit. Upon completion of review the executive director presents the form 990 to the board of directors.”

Each as an obligation to avoid any activitiy, agreement, business investment or interest, or other situation which could be construed as a conflict with the association's best interests or as an interference with employee's duty to serve the association to the best of their ability.
