“Rsa nfp operates a shared automation system and database jointly paid for by our member libraries. This allows those library's patrons to access the holdings of all 135 member libraries.”

“Board members are elected from member library organizations. All libraries are in the same class and receive one vote.”

“Form 990 is reviewed by the governing board at the board of directors meeting before filing.”

“In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the rsa nfp board to consider the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he/she shall leave the rsa nfp board meeting while the determination of a conflict of interest is discussed and voted upon. The remaining rsa nfp board members shall decide if a conflict of interest exists and if so, rsa removes the member or ensure the conflict is resolved prior to service on the board resuming.”
