Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent accountant. After the draft is complete, it is reviewed by the organization's accountant prior to distributing to the president, treasurer, and finance director for their review. Changes are submitted back to the form 990 preparer and then a final copy is produced. The final copy is sent to the board of directors prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

All directors and officers review and sign the conflict of interest policy each year. The policy includes a duty to report any possible conflicts. The completed forms are reviewed by the audit committee, which can raise conflicts to the notice of the full board of directors as needed.

The president and ceo's salary is determined by the board of directors, who may consult salary information from similar organizations. The board of directors' discussion and determination are recorded in the board's meeting minutes. The process was conducted in december 2024. Convergence leaders mariah levison (current ceo) and robert fersh (founder and first ceo) published their book on collaborative problem-solving in july 2024 titled, from conflict to convergence: coming together to solve tough problems. The book goes hand-in-hand with the purpose of the convergence learning lab, so in 2024, we started thinking through ways in which to incorporate the book into our learning lab work. We have started to recommend the book as part of some trainings.

Form 990 is being amended to correct a classification error on part viii, statement of revenue. Specifically, certain general contributions were inadvertently reported on line 1e (government grants) instead of line 1f (all other contributions). This reclassification does not change the total revenue reported on line 1h or part i, line 12. No other changes have been made to the financial data or governance disclosures previously filed.

Financial Statement Notes

PART X, LINE 2:

The organization follows the authoritative guidance relating to accounting for uncertainty in income taxes included in accounting standards codification topic 740-10, income taxes. These provisions provide consistent guidance for the accounting for uncertainty in income taxes recognized in an entity's financial statements and prescribe a threshold of "more likely than not" for recognition and derecognition of tax positions taken or expected to be taken in a tax return. It is the organization's policy to recognize interest and/or penalties related to uncertain tax positions, if any, in income tax expenses. The organization performed an evaluation of uncertain tax positions for the year ended december 31, 2024 and determined that there were no matters that would require recognition in the financial statements or that may have any effect on its tax-exempt status. The statute of limitations generally remains open for three tax years with the u.s. Federal jurisdiction or the various states and local jurisdictions in which the organization files tax returns.
