“The organization is composed of members which have the right to participate in the organization's governance and approval of policies. The organization has two classes of members, builder members and associate members. Builder members are individuals who are actively involved in the residential home building process. Associate members are vendors and other associates who have an interest in the home building industry by providing products and services to the home builders and the home building industry. The rights of each class of members are equal in that both builders and associates may serve as directors on the board of directors. Builder members, however, may serve as senior officers on the board of directors while associate members may not.”

“Directors of the board of directors are elected locally by the members of the ohio association of home builders. The directors then elect the officers of the board of directors. Members elect directors based on the total number of builder members in each local. Elected directors of the board of directors may also elect life directors. Directors are eligible to be elected as life directors when they meet certain requirements for the number of years of service and the number of meetings attended.”

“The form 990 is prepared by an outside accounting firm. The form 990 is then reviewed by the executive vice president and senior officers, who must approve the form 990 before it is filed. A copy of the form 990 is available to the full board prior to filing.”

“The organization requires board members to list any conflicts of interest annually. Such lists will then be held for review by the executive vice president.”

“The compensation of the executive vice president is reviewed and approved by the board of directors with use of data of comparable compensation. Decisions regarding compensation are documented by the organization.”

“The organization does not provide its governing documents, conflict of interest policy or financial statements to the public.”

“The organization has a committee that assumes responsibility for oversight of the review and selection of the independent accountant. The process by which the committee oversees the review and selects the independent accountant has not since the previous year.”
