Governance Explanations

Members include restaurants, purveyors, and teachers/educational facilities who pay annual membership dues.

Every year the officers of the organization expire and new officers are elected at the annual meeting. Any members attending the annual meeting can vote on the new officers.

The code of regulations requires a vote of the membership to approve certain policy decisions dealing with by-laws.

Form 990, Part VI, Section B, Line 11

The form 990 is reviewed and approved by the president and the executive committee of the governing body before it is filed. Further, the form 990 is distributed to the board for review prior to its filing with the irs.

Form 990, Part VI, Section B, Line 12C

The forms are reviewed annually for any conflicts and discussed with the president/ceo if any exist. The president then discusses the conflict with the officer/director and writes a plan as to how that officer/director will be excluded from discussions when their interest may conflict with that of the company.

The president/ceo has an annual review with the executive committee of the board. The board uses compensation and benefit studies of the ohio society of association executives and the council of state restaurant associations. The executive committee is comprised of independent persons of the board and the meeting deliberations and decisions are properly documented. Additionally, the ohio restaurant association does not compensate any officers or directors.
