Governance Explanations

Form 990, Part VI, Section A, Line 6

Classes of bx members eligibility - membership in the exchange shall be open to all companies engaged in the commercial construction industry or having a direct interest in the industry in central ohio. All membership applications are subject to review by the board of directors, which reserves the right to create criteria for admission and termination of membership. Active membership- an active member shall be an individual engaged in business or a technical professional by himself as a sole proprietorship or a designated individual representing a firm or organization consisting of two or more people. Associate membership - this membership is provided for key personnel within a firm or organization that is an active member who are of supervisory, sales, professional, creative or managerial status. Associate membership is a nonvoting membership. Honorary membership - in special instances the board of directors may approve certain individuals for honorary membership, the conditions of such membership are to be determined by the board of directors. Honorary membership is a nonvoting membership. Senior membership - any member or former member, having reached the age of sixty (60) and can substantiate his participation in the affairs of the builders exchange of central ohio for at least twenty (20) years prior to application of senior membership, may upon approval of the board of directors become a senior member. This is a nonvoting membership. Senior membership-retired - any member or former member, upon retirement, may continue membership in the builders exchange of central ohio upon application to and approval by the board of directors be designated as senior member-retired. Senior member-retired membership will be nonvoting. Senior membership status shall not be granted when such action would result in the loss of a member firm from active membership status unless the applicant for senior membership is seeking status as senior member-retired.

Form 990, Part VI, Section A, Line 7A

Election of the directors from the list of nominees shall be by voice vote or, in the event that there are candidates other than those submitted by the nominating committee, by a secret ballot of the active members. Such election shall be held at the annual meeting which shall be held at such date, time and place within franklin county, ohio as determined by the board of directors.

Form 990, Part VI, Section A, Line 7B

Decisions of the governing body are subject to approval by members. The board of directors may elect to submit such issues as it deems appropriate for consideration and vote by the current active membership. Issues that a member feels should be submitted to the membership for a vote must be supported by a petition signed by at least 10% of the current active membership, deposited with the executive director/secretary at least ten days prior to any meetings of the membership whether initiated by the board of directors or a member in accordance with the preceding sentence. The executive director/secretary shall notify the membership of the issue being requested for a membership vote, not less than seven days prior to the membership meeting. Change in the constitution and or by-laws of the exchange can be initiated by the board of directors after such changes or additions have been approved by the board of directors. After such changes or additions have been approved by the board of directors, the proposal will be submitted in writing to the general membership in no less than thirty days and no more than sixty days prior to a general membership meeting, at which time, the membership will vote on the proposals. An approval will consist of an affirmative vote of two-thirds of the active members voting at the meeting.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by the accounting firm that audits the organization's financial statements. Once prepared, the form 990 is reviewed by the director of finance and executive director prior to submission to the finance committee for review and approval. Once approval is received from the finance committee, the organization provides a copy of the form 990 to all members of the governing body. The 990 is then presented to the full board for approval of filing.

Form 990, Part VI, Section B, Line 12C

Each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms that such person - a.) has received a copy of the conflict of interest policy; b.) has read and understands the policy; c.) has agreed to comply with the policy; and d.) understands that the bx is a nonprofit organization and that in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax-exempt purposes. In connection with any actual or possible conflicts of interest, an interested person must disclose the existence of his or her financial or other interests and all material facts to the directors and members of committees with board delegated powers considering the proposed transaction arrangement. The remaining board members shall decide if a conflict of interest exists and follow the existing procedures for addressing the conflict of interest to ensure that any decision regarding a proposed transaction or arrangement is in the best interest of bx.

Form 990, Part VI, Section B, Line 15

The executive director's compensation is determined and approved by the governing body using compensation survey data for similarly qualified persons in functionally comparable positions at similarly situated organizations. The organization maintains contemporaneous documentation with regard to deliberations and decisions regarding the compensation arrangement. There are no other officers or key employees that receive compensation.

Financial Statement Notes

PART V, LINE 4:

The association established the following board designated funds: reserve fund - to ensure that in the event of a possible loss of revenue, the association could sustain staff and services for an extended period of time. Strategic plan fund - to fund research and development of new projects. Capital fund - to set aside funds on an annual basis to pay for planned property and equipment additions. Tenant reserve fund - to set aside funds to offset the expense for a possible tenant loss and/or tenant improvements.

PART X, LINE 2:

Management annually reviews its tax positions and has determined that there are no material uncertain tax positions that require recognition in the financial statements. The association does not believe that any reasonably possible changes in tax positions will occur within the next twelve months that will have a material impact on the financial statements.
