Beginning in 2016, the organization began using progressive employer management company, inc. (pemco), a professional employer organization ("peo"). As a professional employer organization, pemco provides professional employer services to visionspring, inc. In the peo relationship pemco and visionspring share certain responsibilities and allocate other employer responsibilities between each other. Visionspring remains an employer of the worksite employees and pemco is a co-employer of visionspring's employees. Visionspring has: direction and control over employees as is necessary to conduct its business, discharge and fiduciary responsibility it may have, or comply with any applicable licensure, regulatory or statutory requirement of visionspring. Control over the day to day job duties of employees and over the job sites at which, or from which employees perform services pemco reserves a right of direction and control over employees as is necessary to fulfill its obligations and provide its services under an agreement between visionspring and pemco. Pemco and visionspring have a right to hire, discipline, and terminate employees as to each one's employment relationship with employees. The total amount of service fee paid to pemco for the tax year ending 12/31/18 is $12,374.

Form 990, Part VI, Section B, Line 11B

The form 990 is initially reviewed by the organization's vp, global finance and administration and the outside accountants. Subsequently, a draft copy of the form 990 is electronically circulated to the finance & audit committee for their review. Thereafter, a conference call is held with the finance & audit committee to address any questions they might have and approval is requested once all questions have been satisfactorily answered by management.

Form 990, Part VI, Section B, Line 12C

The conflict of interest policy covers any director, officer or committee member with powers delegated by the organization's board of directors who has a direct or indirect financial interest with respect to a given transaction or arrangement. An interested person has a financial interest with respect to a given transaction or arrangement if the person directly engages in a transaction or arrangement with the organization, or has, directly or indirectly, through business, investment or family, any of the following: i. An ownership or investment interest in which the organization has a transaction or arrangement ii. A compensation arrangement with the organization or with any entity or individual with which the foundation has a transaction or arrangement, or iii. A potential ownership or investment interest in, or compensation arrangement with any entity or individual with which the organization is negotiating a transaction or arrangement. Compensation includes direct and indirect remuneration as well as gifts or favors that are substantial in nature. An interested person is required to disclose the existence of a potential conflict of interest to the board and members of committees with board-delegated powers. The interested party leaves the room while the board or board committee reviews and discusses all material facts, and votes upon the existence of a conflict of interest. A majority vote determines if there is a conflict of interest. In addition, the president or committee chairperson may appoint a disinterested person to investigate alternatives to the proposed transaction or arrangement. Following due diligence, the board or board committee will decide if a more advantageous transaction or arrangement that does not give rise to a conflict of interest is attainable. For all actual or potential conflict of interest issues, the minutes of the board and all board committees contain the names of the interested persons, names of persons present for discussion and voting, the content of the discussion, the recording of the votes, and the action taken. Each director, officer and member of a board committee annually signs a statement that attests that the individual has received, read, understood and agrees to comply with the conflict of interest policy. A copy of the disclosure form is retained within the organization's books and records.

Compensation data is collected by an independent contractor who provides the organization with comparable data for the ceo and top management officials. The board of directors reviews and approves all compensation arrangements for top leadership such as ceo, president, founder and coo. All other key management position compensations are approved by the president. All board deliberations and decisions are documented in the board minutes that are kept on file with the organization's books and records. This process was last undertaken in 2018.

IN 2018, WE EXPANDED THE CLEAR VISION WORKPLACE PROGRAM TO 118 FACTORIES AND PRODUCTION SITES IN INDIA, BANGLADESH AND THE PHILIPPINES. WE SCREENED THE VISION OF 59,000 WORKERS IN GARMENT AND HOME GOODS FACTORIES.WE PUBLISHED THE RESULTS OF THE PROSPER STUDY, A RANDOMIZED TRIAL ON THE EFFECTS OF PROVIDING NEAR-VISION READING GLASSES TO INDIAN TEA PICKERS WITH PRESBYOPIA. VISIONSPRING SPEARHEADED THE FORMATION OF THE CLEAR VISION COLLECTIVE (CVC), A COALITION OF TWELVE ORGANIZATIONS COMING TOGETHER TO DRAMATICALLY INCREASE THE UPTAKE OF EYEGLASSES AND VISION SERVICES IN SHERPUR, AS A MODEL DISTRICT IN BANGLADESH. THROUGH OUR READING GLASSES FOR IMPROVED LIVELIHOODS (RGIL) PROGRAM IN BANGLADESH, 26,000 COMMUNITY HEALTH WORKERS CONDUCTED 1,180,000 VISION SCREENINGS AND CORRECTED THE VISION OF 181,000 PEOPLE. WE EXPANDED THIS PROGRAM TO UGANDA IN 2018, TRAINING COMMUNITY HEALTH WORKERS ACROSS 28 DISTRICTS WHO THEN SCREENED THE VISION OF 27,600 PEOPLE AND SOLD 6,900 PAIRS OF NEAR-VISION READING GLASSES.2018 MARKED THE FIRST YEAR IN WHICH WE WERE STAFFED IN ALL SIX KEY MARKETS OF NIGERIA, KENYA, GHANA, BANGLADESH, ZAMBIA AND UGANDA WITH SALES IN THESE MARKETS TOTALING 273,000 PAIRS.
