Governance Explanations

Form 990, Part VI, Section B, Line 11B

Explanation: the board of directors of balletx under the advice of the treasurer shall employ an external auditing firm to prepare the financial numbers of the form 990. The treasurer and president will complete the governance sections, and will consult with the executive director to identify and complete the programmatic components. The full board receives a copy of the form prior to filing for final review and the form shall be approved by a quorum of the board of directors at any regular, annual or sprecial meeting as directed by the president.

1) each director, principal officer and member of a committee with board delegated powers shall annually sign a statement which affirms such person: a) has received a copy of the conflict of interest policy. B) has read and understands the policy c) has agreed to comply with the policy d) understands that balletx is a charitable organization and in order to maintain its federal tax exemption it must engage primarily in activities which accomplish one or more of its tax exempt purposes. 2) if at any time during the year, the information in the annual statement changes materially, the director shall disclose such changes and revise the annual disclosure form. 3) the board of directors shall regularly and consistently monitor and enforce compliance with this policy by reviewing annual statements and taking such other actions as are necessary for effective oversight.

THE PROGRAM INTRODUCES THE BASICS OF DANCE TO ELEMENTARY SCHOOL STUDENTS IN A FUN AND STRUCTURED ENVIRONMENT THAT SPARKS CURIOSITY AND CREATIVITY THROUGH MOVEMENT EXERCISES, CHOREOGRAPHY, AND LIVE PERFORMANCE. IN THE 2020-2021 SEASON, DANCE EXCHANGE ENGAGED FOUR DANCE TEACHING ARTISTS AND TWO LIVE MUSICIANS TO WORK WITH OVER 300 3RD AND 4TH GRADE STUDENTS IN 13 CLASSROOMS AT FOUR PHILADELPHIA PUBLIC SCHOOLS. THE TREASURER AND PRESIDENT WILL COMPLETE THE GOVERNANCE SECTIONS, AND WILL CONSULT WITH THE EXECUTIVE DIRECTOR TO IDENTIFY AND COMPLETE THE PROGRAMMATIC COMPONENTS. THE FULL BOARD RECEIVES A COPY OF THE FORM PRIOR TO FILING FOR FINAL REVIEW AND THE FORM SHALL BE APPROVED BY A QUORUM OF THE BOARD OF DIRECTORS AT ANY REGULAR, ANNUAL OR SPRECIAL MEETING AS DIRECTED BY THE PRESIDENT.
