Internet Security Alliance

“There are two categories of members. Sponsors and Founding Sponsor members. Sponsor members are firms that have completed the membership agreement, have paid the fees establilshed that have been approved for membership by the Board. The Founding Sponso member is Carnegie Mellon University which retains a seat on the Board but does not pay dues. Sponsor Members. Sponsor members are firms that are committed to improving the overall security of teh internet and provacy of internet users who have completed the membership agreement, have paid teh fees established for Sponsor members and have been approved for membership by the Board.”

“The Board of Directors consists of representatives of each of the Class 2 Founding members, The President, CEO, and Vice President, and a representative designated by each of the Sponsor members. Each member may appoint representatuives to membership in the councils and committees of the Internet Security Alliance.”

“The Form 990 is provided in draft to teh President. Once approved the form is signed by the President and filed with the Internal Revenue Service.”

“Officers and Directors are required to sign an acknowledgement each year that they have received the conflict of interest policy. Each officer and director is asked to notify the Board of any conflilcts of interest. Officers and Directors abstain from any approval of salaries or other forms of compensation for themselves.”

“Compensation to Officers and Directors is evaluated on an annual basis by the Board of Directors. Compensation is based upon teh level of skill required for the position, comparison of compensation to similare positions in the Non-Profit industry, and an evaluation of the individuals achievements during the year. Determination of the compensation is documented by the Board of Directors in a written compensation agreement.”
