“Membership section 1: classifications a. Active member: (1) national members: professional registered nurses, licensed in the united states whose dues are current. (2) international members: professional registered nurses, licensed (or equivalent) outside of the united states whose dues are current. (3) senior members: professional registered nurses, licensed in the united states whose dues are current and aged 65 or older. B. Affiliate member: an individual who is not a registered nurse and supports the missions and objectives of ena whose dues are current. C. Honorary member: awarded to an individual as determined by the ena president and the ena board of directors. D. Student member: an individual enrolled in a nursing education program leading to eligibility for registered nurse licensure whose dues are current. Section 2: privileges (1) national members: when a professional registered nurse licensed in the united states joins ena, she/he shall have the right to vote, hold elected office and serve on committees. (2) international members: when a professional registered nurse licensed (or equivalent) outside the united states joins ena, she/he shall have the right to vote, hold elected office, and serve on committees. (3) senior members: when a professional registered nurse licensed in the united states joins ena, she/he shall have the right to vote, hold elected office and serve on committees. B. Affiliate members: affiliate members shall have the rights and privileges of ena membership, except the right to vote and to hold an elected office. C. Honorary members: honorary members shall have the rights and privileges of ena membership, except the right to vote and to hold an elected office. D. Student members: student members shall have the rights and privileges of ena membership, except the right to vote and to hold an elected office.”

“The general assembly is tasked with communicating the needs of members, offering feedback, and providing input to the board of directors regarding matters pertinent to emergency nursing practice. Additionally, the general assembly holds the authority to approve, revise, or amend the bylaws in accordance with article xiv; receive reports from the board of directors, committees, and other volunteer groups; review findings from the annual financial audit; and conduct any other appropriate business that may be properly presented during the meeting.”

“A copy of form 990 will be provided to the ena finance committee prior to its submission. The committee will conduct a thorough review of the form during a scheduled meeting and may suggest any necessary adjustments. Following this review, the committee will recommend form 990 to the full ena board for filing. At a subsequent board meeting, the ena board will either approve the recommendation or make further revisions before granting final approval for filing.”

“All members of the board of directors and volunteers are required to submit a conflict of interest statement at the start of their term and on an annual basis thereafter. The executive services department is responsible for collecting and maintaining these statements. Additionally, at the beginning of each board meeting and finance committee meeting, participants are asked if they have any new potential conflicts to disclose since their most recent conflict of interest statement was filed.”

The board reviews this data for the chief executive officer position, while the chief executive officer and human resources department evaluate the information for senior leadership positions. The board assesses the competitive market data and compensation strategy to ensure compensation levels align with industry standards. Staff members are not present during discussions concerning the chief executive officer. Board officer stipends are reviewed at least every two years, utilizing benchmark data from similar associations.”
