Governance Explanations

Form 990, Part VI, Section A, line 7A

American Haflinger Registry has an annual election of directors. The directors each serve a 3 year term, with approximately 1/3 elected each year. Any current member who wishes to be elected to the director position must submit a short biography on themselves reflecting their knowledge of the industry. After this is done, their name will be placed on the ballot and sent out to all voting members. These ballots are returned and counted, and the new directors are named.

Form 990, Part VI, Section A, line 7B

The directors of American Haflinger Registry must get approval from members to make policy changes or changes to the by-laws. Any other changes the directors make will not require approval from members.

Form 990, Part VI, Section A, line 8B

Minutes are taken for all board conference calls and meetings. No minutes are taken on committee conference calls or meetings. Any action taken by committees must be approved by the board first.

The 990 is provided to the board members to review prior to being signed and filed. If any board member has questions or comments regarding the 990, the questions and/or comments are addressed and, if necessary, changes are made before the 990 is filed.

Compensation for all American Haflinger Registry employees is recommended by the Personnel Committee and voted on by the board. The compensation rates are compared to similar job titles in the same geographic region.

American Haflinger Registry makes its governing documents and financial statements available to the public, when the item is requested, within a reasonable amount of time. The person requesting the information can come to the office to examine it, or a copy will be made and mailed to them.

The purchasing and selling is open to both members and non-members. The spring auction sold 43 horses and the fall auction sold 1.
IRS990/ProgSrvcAccomActy3Grp/Desc0National Show - promotes excellence in breeding and training of our breed of horses. Also general promotion of the breed. 73 horses participate, from about 22 farms. Spectators are not charged admission, so it cannot be determined how many attend. Non-members may participate, although the horses must be registered.

The directors each serve a 3 year term, with approximately 1/3 elected each year. Any current member who wishes to be elected to the director position must submit a short biography on themselves reflecting their knowledge of the industry. After this is done, their name will be placed on the ballot and sent out to all voting members. These ballots are returned and counted, and the new directors are named.
