The sole member of foundation is greater delaware valley society of transplant surgeons (d/b/a gift of life), an affiliated entity.

The board of gift of life, an affiliated entity, appoints the transplant foundation board of directors.

Form 990, Part VI, Section A, Line 7B

Foundation's sole member, gift of life (an affiliated entity), has the authority to approve the following: 1) borrow money under terms which provide for a repayment period of at least twelve months; 2) undertake any capital expenditures in excess of $30,000 and any capital expenditures involving related projects which, in the aggregate, exceed $100,000; 3) authorize any fundamental changes to foundation, including the adoption of a plan of dissolution of foundation; the adoption of a plan of merger, consolidation, division, conversion or affiliation with another entity; and any change to the current foundation corporate organizational structure; 4) authorize and designate officers of foundation to execute a deed of assignment for the benefit of creditors; file a voluntary petition in bankruptcy; file an answer consenting to the appointment of a receiver; or file an answer to an involuntary petition in bankruptcy; and 5) organize or acquire any subsidiary or affiliate. Also, any amendment or repeal of foundation's bylaws shall be subject to the approval of gift of life.

FORM 990, PART III, LINE 1:

Transplant foundation ("foundation") is dedicated to advancing organ and tissue donation and transplantation, as well as supporting donor families and recipients. This commitment extends to the more than 100,000 individuals nationwide awaiting life-saving organ transplants, including over 4,600 in gift of life's region, along with countless others who could benefit from tissue transplants. Through its gift of life institute, transplant foundation promotes research, educational programs, and training seminars aimed at enhancing organ and tissue donation and transplantation efforts. In 2024, gift of life institute provided direct training and raised awareness about donation and transplantation for more than 500 professionals in the field. Transplant pregnancy registry international is an integral part of transplant foundation which monitors and analyzes the outcomes of thousands of pregnancies among solid organ transplant recipients, offering crucial guidance to recipients in making informed family planning decisions. Additionally, transplant foundation engages in fundraising, educational initiatives, and scholarship programs to support the missions of the greater delaware valley society of transplant surgeons ("gift of life") and transplant house ("gift of life howie's house"). Throughout 2024, transplant foundation actively supported a wide range of community programs, grants, and scholarships to benefit the more than 4,600 individuals awaiting organ transplants in eastern pennsylvania, southern new jersey, and delaware.

In 2024, gift of life institute proudly graduated the seventh class of its innovative program, "the art and science of leadership: driving results for donation and transplantation professionals." this fully subscribed, six-month certificate program, developed in partnership with the wharton school of the university of pennsylvania and the fox school of business at temple university, is tailored for both emerging and experienced leaders seeking to enhance their management skills and strategic insight. Fourteen current and former leaders from eleven organ donation organizations served as coaches, guiding 23 professionals from 13 organ donation organizations through this intensive, multi-faceted program. In 2024, the "determination of brain death and family communication physician training" program continued to attract 352 physician learners to its distinctive elearning and virtual reality training platform. In 2012, gift of life institute expanded its research initiatives and support for transplant recipients by welcoming the transplantation pregnancy registry international (tpri), formerly known as the national transplant pregnancy registry, into its fold. Since 1991, tpri has tracked and studied the outcomes of thousands of pregnancies in solid organ transplant recipients, providing invaluable information that aids these individuals in making informed family planning decisions. The tpri team comprises nurses with extensive experience in transplant patient care and skilled interviewers. In 2024, the team submitted and had 16 abstracts accepted for presentations at academic meetings, published 5 peer-reviewed articles, and delivered 8 invited presentations at academic meetings, transplant centers, and recipient support groups, all with the goal of sharing important knowledge. Gift of life donor dash: transplant foundation proudly supported and coordinated the 27th annual gift of life donor dash on april 28, 2024. The event featured a 10k run, 5k run, 3k walk, and kids fun run, all held at the base of the philadelphia navy yard's parade ground. Over 15,000 participants, including transplant recipients, donor families, living donors, and advocates, took part both in-person and virtually, raising awareness for organ and tissue donation across 40 states and washington d.c. Promotional materials were widely distributed throughout the region, and the event was publicized through regional media and running-related websites. Through the efforts of participants and sponsors, transplant foundation raised over $690,000, supporting programs and activities for donor and recipient families, including team philadelphia's participation in the transplant games of america and gift of life howie's house. Team philadelphia at the transplant games of america: the 2024 transplant games of america were held in birmingham, al from july 5 july 10, 2024. The local group attending the games is called "team philadelphia, and was comprised of more than 140 transplant recipients, living donors, donor families, and supporters. The transplant games is an olympic-style competition for recipients and living donors of all ages to promote the success of transplantation, to raise awareness for the urgent need of organ and tissue donation and to honor donors and their families who have so generously given the gift of life. Gift of life howie's house: transplant foundation has played a key role in the development, design, and ongoing operations of gift of life howie's house, a facility similar to a ronald mcdonald house, where families of transplant patients can stay close to their loved ones during surgery and follow-up visits. Living donors are also accommodated at gift of life howie's house. In 2024, gift of life howie's house provided 9,964 nights of lodging and supported 7,711 volunteer hours for hospitality guest services. Additionally, the shuttle service transported 3,697 guests to and from area hospitals, covering 13,921 miles in 1,382 trips. Through the hom

Jessica beth schwartz scholarship fund: in 2024, transplant foundation awarded scholarships to four recipient students, $2,000 each, to support their enrollment in college or trade/technical school. Donors are heroes - grant programs: donors are heroes hosted a bingo event in april 2024 to raise funds to support their mission. These funds were used to sustain the "it's about life" (ial) grant programs in houses of worship and the "spirit for life" (sfl) grants for philadelphia high schools. In 2024, twenty-one ial grants were awarded, supporting a variety of programs including workshops and speaking events at houses of faith, educational presentations at community centers, and a gospel program in observance of donor sabbath, a time dedicated to discussing organ donation within religious communities. Additionally, three philadelphia high schools received sfl grants, enabling them to conduct more intensive educational campaigns and host related programs and events within their school communities. Transplant foundation's innovative research in support of donation and transplantation grant program: established in 2015, this grant program was created to advance organ and tissue donation and transplantation, with a special focus on gift of life's donation service area. The program aims to foster innovation, enhance quality, and ensure safety in the field of donation and transplantation by supporting scientific research, community programs, and novel approaches to existing processes and protocols.

Transplant foundation is an affiliate in a group, including gift of life donor program ("gldp" ein: 23-7388767) and transplant house (ein: 26-0585694), of which gldp is considered a common pay agent for w-2 reporting. Gldp reports all employees on its form w-3; however, each affiliate has employees allocated to that entity. Per irs instructions, employees listed on part v, line 2a are those who have been deemed to be employees of this organization. The salary expense and benefits reported in part ix of form 990 are an allocation from gldp.

PART V, LINE 4:

In december 2015, the board authorized the establishment of a $10 million endowment fund (the "fund") by transplant foundation for the purpose of funding any future financial shortfalls and to support needed capital projects at transplant house. Based on the request of the board, transplant house is entitled to an annual distribution of up to 5% of the fair value of the fund. The fair value is determined as of december 31 of each calendar year and calculated by averaging the fair value of the fund over the preceding 12 quarters or as many quarters that the fund has been in existence.
