The vp of finance works closely with the paid preparer in gathering the information required. The return is then reviewed by the finance and audit committee. After updating the return with committee members comments or recommendations, the complete return is provided to the board of directors for review and comment.”

In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. -any transaction or arrangement where a conflict of interest is involved will require a two thirds (2/3) vote of the directors voting at a meeting of the board where a quorum is present.”
