The board of gift of life, an affiliated entity, appoints the transplant foundation board of directors.

Form 990, Part VI, Section A, Line 7B

Foundation's sole member, gift of life (an affiliated entity), has the authority to approve the following: 1) borrow money under terms which provide for a repayment period of at least twelve months; 2) undertake any capital expenditures in excess of $30,000 and any capital expenditures involving related projects which, in the aggregate, exceed $100,000; 3) authorize any fundamental changes to foundation, including the adoption of a plan of dissolution of foundation; the adoption of a plan of merger, consolidation, division, conversion or affiliation with another entity; and any change to the current foundation corporate organizational structure; 4) authorize and designate officers of foundation to execute a deed of assignment for the benefit of creditors; file a voluntary petition in bankruptcy; file an answer consenting to the appointment of a receiver; or file an answer to an involuntary petition in bankruptcy; and 5) organize or acquire any subsidiary or affiliate. Also, any amendment or repeal of foundation's bylaws shall be subject to the approval of gift of life.

FORM 990, PART III, LINE 1:

Transplant foundation ("foundation") is dedicated to advancing organ and tissue donation and transplantation, as well as supporting donor families and recipients. This commitment extends to the more than 100,000 individuals nationwide awaiting life-saving organ transplants, including over 5,000 in gift of life's region, along with countless others who could benefit from tissue transplants. Through its gift of life institute, transplant foundation promotes research, educational programs, and training seminars aimed at enhancing organ and tissue donation and transplantation efforts. In 2023, gift of life institute provided direct training and raised awareness about donation and transplantation for more than 1,900 professionals in the field. Transplant pregnancy registry international is an integral part of transplant foundation which monitors and analyzes the outcomes of thousands of pregnancies among solid organ transplant recipients, offering crucial guidance to recipients in making informed family planning decisions. Additionally, transplant foundation engages in fundraising, educational initiatives, and scholarship programs to support the missions of the greater delaware valley society of transplant surgeons ("gift of life") and transplant house ("gift of life howie's house"). Throughout 2023, transplant foundation actively supported a wide range of community programs, grants, and scholarships to benefit the more than 5,000 individuals awaiting organ transplants in eastern pennsylvania, southern new jersey, and delaware.

Gift of life institute: transplant foundation fulfills its mission to provide professional education and training through its education and research division, gift of life institute. Gift of life institute specializes in designing, developing, and delivering effective and strategic instruction related to advancing outcomes in the field of organ and tissue donation. Its focus is to assist donation organizations in improving system-wide processes that determine and assure effective implementation of policies for the field and improve educational strategies that shape the future of clinical and communication practices. Gift of life institute embraces a strong pro-donation philosophy based on over fifty years of practical experience demonstrated by the nation's longtime leader in the field of organ and tissue donation, gift of life donor program. This philosophy extends to innovative improvement strategies and associated trainings. Gift of life institute trainings are focused on establishing team standards of practice that equip donation professionals with the strategies and skills to critically think to overcome challenges and achieve organizational authorization and donation goals. Its trainings are innovative and delivered in-person and remotely via elearning, simulations, mobile device applications, and coaching programs. Gift of life institute faculty are practicing clinical experts and business leaders, each with decades of leadership and opo field experience. Educational strategies are created, knowing that the practical skills necessary to mitigate and overcome barriers and pressure points are critical to success. Transplant foundation is also home to transplant pregnancy registry international, an ongoing research study focused on the effects of pregnancy on transplant recipients and the effects of immunosuppressive medications on fertility and pregnancy outcomes. A unique feature of this study is the long-term follow-up of the participants. The tpri provides information to transplant recipients contemplating post-transplant parenthood and to the healthcare providers who care for them. To further transplant foundation's mission through its gift of life institute, 45 workshops and consulting opportunities were conducted in 2023, focusing on family communication, authorization for organ and tissue donation, administrator-on-call training, and hospital services staff development, with over 470 participants. Additionally, gift of life institute provided training to 388 donation professionals through its webencounter platform (173), elearning courses (153), and virtual classroom initiatives (62). Gift of life institute has also collaborated with nearly 40 countries to support the development of responsible and ethical donation and transplantation practices on a global scale. In 2023, gift of life institute proudly graduated the sixth class of its innovative program, "the art and science of leadership: driving results for donation and transplantation professionals." this fully subscribed, six-month certificate program, developed in partnership with the wharton school of the university of pennsylvania and the fox school of business at temple university, is tailored for both emerging and experienced leaders seeking to enhance their management skills and strategic insight. Eleven current and former leaders from eight organ procurement organizations (opos) served as coaches, guiding 21 professionals from 12 opos through this intensive, multi-faceted program. Also, in 2023, the "determination of brain death and family communication physician training" program was launched, attracting 1,062 learners to its distinctive elearning and virtual reality training platform. In 2012, gift of life institute expanded its research initiatives and support for transplant recipients by welcoming the transplantation pregnancy registry international (tpri), formerly known as the national transplant pregnancy registry, into its fold. Jessica beth schwartz scholarship fund: in 2023, transplant foundation awarded scholarships to four recipient students, $2,500 each, to support their enrollment in college or trade/technical school. Donors are heroes - grant programs: although donors are heroes did not host an event in 2023, they continued to support their grant programs with funds raised in previous years. These funds were used to sustain the "it's about life" (ial) grant programs in houses of worship and the "spirit for life" (sfl) grants for philadelphia high schools. In 2023, twenty ial grants were awarded, supporting a variety of programs including workshops and speaking events at houses of faith, educational presentations at a boys and girls club, and a gospel program in observance of donor sabbath, a time dedicated to discussing organ donation within religious communities. Additionally, three philadelphia high schools received sfl grants, enabling them to conduct more intensive educational campaigns and host related programs and events within their school communities. Transplant foundation's innovative research in support of donation and transplantation grant program: established in 2015, this grant program was created to advance organ and tissue donation and transplantation, with a special focus on gift of life's donation service area. The program aims to foster innovation, enhance quality, and ensure safety in the field of donation and transplantation by supporting scientific research, community programs, and novel approaches to existing processes and protocols.

Transplant foundation is an affiliate in a group, including gift of life donor program ("gldp" ein: 23-7388767) and transplant house (ein: 26-0585694), of which gldp is considered a common pay agent for w-2 reporting. Gldp reports all employees on its form w-3; however, each affiliate has employees allocated to that entity. Per irs instructions, employees listed on part v, line 2a are those who have been deemed to be employees of this organization. The salary expense and benefits reported in part ix of form 990 are an allocation from gldp.

PART V, LINE 4:

In december 2015, the board authorized the establishment of a $10 million endowment fund (the "fund") by transplant foundation for the purpose of funding any future financial shortfalls and to support needed capital projects at transplant house. Based on the request of the board, transplant house is entitled to an annual distribution of up to 5% of the fair value of the fund. The fair value is determined as of december 31 of each calendar year and calculated by averaging the fair value of the fund over the preceding 12 quarters or as many quarters that the fund has been in existence.

LODGING AND SUPPORTIVE SERVICES ARE ALSO PROVIDED TO PATIENTS AND CAREGIVERS TRAVELLING FOR TRANSPLANT SERVICES TO THE PHILADELPHIA ARE THROUGH GIFT OF LIFE HOWIE'S HOUSE. ADDITIONALLY, SCHOLARSHIPS SUCH AS THE JESSICA BETH SCHWARTZ COLLEGE SCHOLARSHIP PROGRAM ARE PROVIDED TO SUPPORT ADVANCEMENT OF RECIPIENTS. - SERVE AS A LEADER IN THE ADVANCEMENT OF ORGAN AND TISSUE DONATION AND TRANSPLANTATION THROUGH STATE OF THE ART TRAINING & CONSULTING OFFERED BY GIFT OF LIFE INSTITUTE, AS WELL AS THROUGH FUNDING THE INNOVATIVE RESEARCH IN SUPPORT OF DONATION & TRANSPLANTATION GRANT PROGRAM INITIALLY ESTABLISHED IN 2015.IN ADDITION TO ITS ONGOING COMMUNITY EDUCATION AND GRANT PROGRAMS, AND THE PROGRAMMING THROUGH ITS GIFT OF LIFE INSTITUTE, TRANSPLANT FOUNDATION CONTINUES TO SUPPORT GIFT OF LIFE FAMILY HOUSE, A RONALD MCDONALD HOUSE-TYPE SETTING, WHERE FAMILIES OF PATIENTS UNDERGOING TRANSPLANTS AT TRANSPLANT CENTERS IN THE PHILADELPHIA REGION ARE ACCOMMODATED NEAR THE SITE OF THE SURGERY AND FOR FOLLOW-UP VISITS. TRANSPLANT FOUNDATION SUPPORTED THE PLANNING, DESIGN, PROGRAM DEVELOPMENT, AND CONSTRUCTION OF GIFT OF LIFE HOWIE'S HOUSE AND CONTINUES TO SUPPORT ITS ONGOING OPERATIONS. TRANSPLANT FOUNDATION'S PRIMARY EXEMPT PURPOSE IS TO SUPPORT THE MISSION OF GIFT OF LIFE DONOR PROGRAM, AS DETAILED IN PART III A. IN 2023, TRANSPLANT FOUNDATION FULFILLED THIS MISSION BY PROVIDING ONGOING SUPPORT TO GIFT OF LIFE INSTITUTE, ORGANIZING THE TEAM PHILADELPHIA ENTRY IN THE TRANSPLANT GAMES OF AMERICA, COORDINATING GIFT OF LIFE DONOR DASH AND CONTINUING ITS SUPPORT OF THE INNOVATIVE RESEARCH IN SUPPORT OF DONATION AND TRANSPLANTATION GRANT PROGRAM.
