Form 990, Part VI, Section A, Line 3

Management company & services provided: a management agreement exists between north central health services (aka river bend hospital) and meridian health services. Meridian health services is the exclusive manager of river bend hospital; meridian health services managed day-to-day operations, including scheduling & staffing of all of meridian's personnel required for operation of river bend hospital. Its responsibilities included, without limitation, management control over all meridian personnel and recruiting, hiring, training, supervising, controlling and terminating or discharging all meridian personnel. Meridian provided support services including information technology, health information management, billing, accounts receivable, purchasing, accounting, human resources, quality management, health & safety and related oversight of these services/departments. Meridian was responsible for establishing the compensation of all meridian personnel providing services for river bend hospital, as well as establishing all employee policies and ensuring proper certification and licensure of personnel providing services for river bend hospital.

The process of reviewing the form 990 entails a detailed review by the organization's ceo and cfo. The governing body receives a paper and electronic copy of the form 990 including requested schedules, as ultimately filed with the irs, for review and approval prior to filing with the irs.

The written conflict of interest policy is regularly and consistently monitored and compliance enforced by the chairman, vice chairman, or president of north central health services, inc. The scope of this policy includes the board of directors, principal officer, and members of committees with board delegated powers. The policy is in place to avoid any duality of interest or potential conflict of interest by full disclosure of any such potential conflict, and by abstention by the interest person from any vote on a matter in which a conflict exists between the interested person and the corporation. The covered persons are to refrain from any known or anticipated financial interest or relationship which could reasonably be expected to create a conflict of interest on any matter which might come before the board of directors. A self disclosure from covered persons to the chairman or the secretary of the board of directors is required on any potential conflicts of interest. The covered persons are to recuse from participating in any deliberation or decisions on such transactions. The chairman or vice chairman of the board of directors reviews the conflicts disclosed.

Form 990, Part VI, Section B, Line 15A

During fy 2022, an independent consulting firm was contracted to perform a market study of total ceo and cfo compensation. The executive compensation committee reviewed the findings of the market study to help determine and set the ceo and cfo's compensation and bonus structure. The executive compensation committee, consisting of independent board members, meets annually to review the ceo performance and compensation of the ceo and cfo. The process and findings are documented in the committee's meeting minutes. Compensation for other officers/key employees is determined & approved by the compensation committee. The committee uses a community survey and market analysis for rate comparison.

Accounting principles generally accepted in the united states of america require management to evaluate tax positions taken by the organization and recognize a tax liability if the organization has taken an uncertain position that more likely than not would not be sustained upon examination by various federal and state taxing authorities. Management has analyzed the tax positions taken by the organization, and has concluded that as of december 31, 2022 and 2021, there are no uncertain positions taken or expected to be taken that would require recognition of a liability or disclosure in the accompanying financial statements. The organization is subject to routine audits by taxing jurisdictions; however, there are currently no audits for any tax periods in progress.

BECAUSE THE ORGANIZATION DOES NOT COLLECT AMOUNTS DEEMED TO BE CHARITY CARE, THE AMOUNTS ARE NOT REPORTED AS REVENUE. OF THE ORGANIZATION'S TOTAL HEALTH CARE SERVICES EXPENSE REPORTED, AN ESTIMATED $388,000 (AT COST) AROSE FROM PROVIDING SERVICES TO CHARITY PATIENTS DURING THE YEAR ENDED DECEMBER 31, 2022. CONTINUE ON SCHEDULE O: THE ESTIMATED COSTS OF PROVIDING CHARITY SERVICES ARE BASED ON A CALCULATION WHICH APPLIES A RATIO OF COSTS TO CHARGES TO THE GROSS UNCOMPENSATED CHARGES ASSOCIATED WITH PROVIDING CARE TO CHARITY PATIENTS. THE RATIO OF COST TO CHARGES, CALCULATED USING THE IRS GUIDELINES, IS 7% FOR THE YEAR ENDED DECEMBER 31, 2022.IN 2014, THE STATE OF INDIANA IMPLEMENTED HIP 2.0 WHICH EXPANDED THE EXISTING MEDICAID PROGRAM. AS A RESULT OF THIS EXPANSION, A GREATER NUMBER OF PATIENTS QUALIFIED FOR HIP 2.0 WHICH REDUCED SIGNIFICANTLY THE ORGANIZATION CHARITY CARE AND BAD DEBT EXPENSE IN THE YEARS SINCE THE EXPANSION.

THE ORGANIZATION IS SUBJECT TO ROUTINE AUDITS BY TAXING JURISDICTIONS; HOWEVER, THERE ARE CURRENTLY NO AUDITS FOR ANY TAX PERIODS IN PROGRESS.
