Governance Explanations

Form 990, Part VI, Section A, Line 6

Voting members - any commercial bank, savings bank, or savings and loan association organized under the laws of the united states, the state of ohio or any other state, may become a voting member of the league upon approval by the board of directors and upon payment of such annual dues as may be determined by the board. Affiliate members - any corporation, partnership, limited liability company, professional association, person or other entity may become an affiliate member upon approval by the board and upon the payment of such annual dues as may be determined by the board.

Form 990, Part VI, Section A, Line 7A

Two directors of the board of directors are elected by the voting members of each of the six districts of the league. Six directors-at-large are nominated by the chairman, and elected by the members, to achieve a balance of representation, taking into consideration such factors as asset size, geographic location, and the types of business conducted by the members generally.

Form 990, Part VI, Section A, Line 7B

Voting members shall each be entitled to one vote on each matter submitted to the members for their vote. This vote shall be cast by a delegate of the voting member who shall be either the chief executive officer of the voting member or an officer designated by the chief executive officer. Affiliate members shall have no voting rights. Except as otherwise provided in the articles of incorporation or the regulations, the vote of a majority of voting members present at a meeting at which a quorum is present shall constitute the acton of the members of the league.

The ohio bankers league is 120-year-old statewide trade association serving 220 fdic insured financial institutions and their nearly 290,000 employees nationwide (135,000 ohio). By linking banks, bankers and industry experts - and by pooling their intellectual and capital resources - the obl serves as a powerful creator of knowledge and cooperative resources for the ohio banking industry. The obl provides professional education, collective buying, communications, and government services to its members.

FORM 990, PART XI, LINE 2C, OVERSIGHT OF AUDIT AND SELECTION OF ACCOUNTANT:

The organization has a committee that assumes responsibility for oversight of the audit and selection of the independent accountant. The process for overseeing the audit of the financial statements and selection of an independent accountant has not changed from the previous year.

Financial Statement Notes

PART X, LINE 2:

Fin 48: generally accepted accounting principles require the organization to evaluate the level of uncertainty related to whether tax positions taken will be sustained upon examination. Any positions taken that do not meet the more-likely-than-not threshold must be quantified and recorded as a liability for unrecognized tax benefits in the accompanying consolidated statements of financial position along with interest and penalties that would be payable to the taxing authorities upon examination. The organization believes that none of the tax positions taken would materially impact the financial statements, and no such liabilities have been recorded. In general, the organization is no longer subject to u.s. Federal, state and local income tax examinations by tax authorities for the years before 2011.
