Governance Explanations

Form 990, Part VI, Section A, Line 6

Voting members - any commercial bank, savings bank, or savings and loan association organized under the laws of the united states, the state of ohio or any other state, may become a voting member of the league upon approval by the board of directors and upon payment of such annual dues as may be determined by the board. Affiliate members - any corporation, partnership, limited liability company, professional association, person or other entity may become an affiliate member upon approval by the board and upon the payment of such annual dues as may be determined by the board.

Form 990, Part VI, Section A, Line 7A

The obl board of directors is comprised of 25 independent individuals. The executive committee of officers includes the chairman, first vice chairman, second vice chairman, treasurer, immediate past chairman and president; two directors of the board are elected by the voting members in each of the six obl districts (for a total of 12 district directors). Six directors-at-large are nominated by the chairman and elected by the membership at large. Careful consideration is given to asset size, geographic location, and financial business model to achieve balanced representation on the board.

Form 990, Part VI, Section A, Line 7B

Voting members shall each be entitled to one vote on each matter submitted to the members for their vote. This vote shall be cast by a delegate of the voting member who shall be either the chief executive officer of the voting member or an officer designated by the chief executive officer. Affiliate members shall have no voting rights. Except as otherwise provided in the articles of incorporation or the regulations, the vote of a majority of voting members present at a meeting at which a quorum is present shall constitute the action of the members of the league.

The form 990 is prepared by an outside public accounting firm and reviewed by management. Once it is determined by management that the form 990 is ready to file, the audit and performance oversight committee reviews the filing and recommends approval to the board. A copy is then provided to each of the board members prior to filing.

Each year, the officers, directors, trustees, and key employees are given copies of the conflict of interest policy and are required to sign off and disclose any potential conflicts of interest.

The compensation of the ceo and other officers or key employees is reviewed and approved by the board of directors or the compensation committee of the ohio bankers league. The compensation of the person is reviewed and approved using data as to comparable compensation for similarly qualified persons in functionally comparable positions at similar situated organizations. There is then contemporaneous documentation and recordkeeping with respect to the deliberations and decisions regarding the compensation arrangement.

The ohio bankers league is 133-year-old statewide trade association serving 170 fdic insured financial institutions and their nearly 325,000 employees nationwide (60,000 ohio). By linking banks, bankers and industry experts - and by pooling their intellectual and capital resources - the obl serves as a powerful creator of knowledge and cooperative resources for the ohio banking industry. The obl provides professional education, collective buying, communications, and government services to its members.

Fin 48: generally accepted accounting principles require the organization to evaluate the level of uncertainty related to whether tax positions taken will be sustained upon examination. Any positions taken that do not meet the more-likely-than-not threshold must be quantified and recorded as a liability for unrecognized tax benefits in the accompanying consolidated statements of financial position along with interest and penalties that would be payable to the taxing authorities upon examination. The organization believes that none of the tax positions taken would materially impact the financial statements, and no such liabilities have been recorded.
