Governance Explanations

Form 990, Part VI, Section A, line 6

The membership of Educational Theatre Association is comprised of thespian troupes and professional members.

Form 990, Part VI, Section A, line 7A

Election of members and their rights - the membership elects two officers and six individuals to the Board of Directors

Form 990, Part VI, Section A, line 7B

Decisions subject to Approval of Members - Any changes to the Code of regulations (Bylaws) by the Board must be approved by the members to take effect

Form 990, Part VI, Section B, line 11B

Organization's process to review Form 990 - The Board receives a draft copy of the Form 990 ten days before filing.

Form 990, Part VI, Section B, line 12C

The association has detailed Conflict of Interest Policy, which is reviewed by the board of directors and copies are signed annually. The policy details definitions and procedures to follow when a conflict of interest question is identified. In addition, should anyone outside the board or staff identify a potential conflict of interest, the issue is brought to the attention of the board president and taken to the full board if there is any question. Board members have been vigilant in awareness of the policy and are known to ask before a question can become an issue.

Form 990, Part VI, Section B, line 15

The salary of the Executive Director is determined by a review of multiple national and local compensation surveys using a minimum of four comparative factors: association type (membership not trade associations). With a similar scope and similar sized budget and staff. The comparison is prepared by the board president and vice-president and presented to the entire board for consideration. Once salary is determined, the salary is communicated to the ED by a letter approved by all board members. The Executive Director is not involved in this process other than to collect salary surveys at the direction of the president.

Form 990, Part VI, Section C, line 19

The Associations Code of Regulations (Bylaws), including the Conflict of Interest Policy, the Governing Board's Policy Manual are available to the public on the website. The Annual Audit is available to the public by request and presented to the members in summary form in an annual report.
