“Philosophy statement on board of trustees compensation since 1979, the oclc board of trustees has determined that compensation for trustee service is appropriate in order to attract and retain the most qualified and able individuals and to provide tangible compensation for the considerable time and effort of trustees in support of oclc's mission. Because of the significant time commitment involved in board service, many trustees must limit consulting and other activities for which they would be compensated. Compensation will be provided to non-employee trustees, by action of the board, at levels consistent with those provided by other non-profit organizations that also compensate their board members/trustees (with market defined by data from 990 filings, supplemented by non-profit published survey data). Compensation levels are also reviewed from time to time by independent compensation consultants for benchmarking against other non-profit organizations. Board compensation consists of cash payments structured as a combination of retainers and meeting fees, with higher compensation amounts for chairs of the board and board committees reflecting the additional time requirements of these positions. From time to time, there may also be additional trustee compensation for special projects/assignments as determined by the board, depending on duration and additional time requirements. More information about oclc board compensation can be found on the oclc website at the following link: https://www.oclc.org/en/about/finance.html”
“Membership in oclc is open to any library or other memory institution that embraces the oclc values of collaboration and sharing. Institutions worldwide become members by contractually agreeing to contribute intellectual content or share resources. Members may include libraries, museums, archives, historical societies, or similar institutions. Oclc members in each of three worldwide regions organize into regional councils. Each regional council elects delegates to the oclc global council. This body consists of 48 member delegates and it articulates the various interests of the oclc members to the oclc board of trustees.”
“The board of trustees may designate three (3) or more trustees, including the chair of the board, to constitute an executive committee, which committee shall have and exercise the authority of the board of trustees in the management of the affairs of the corporation when the board of trustees is not in session. Oclc's global council met in march 2024. The meeting included a board of trustees election, as well as ratification of plans to establish a new council structure. The new oclc leaders council will be phased in over the next year with a clear purpose: to provide library perspectives that inform oclc's strategic goals and to elect six trustees to the board of trustees. It combines three regional councils into one group comprised of two delegations - one consisting of members from north, central, and south america and one that unites europe, the middle east, africa (emea), and asia pacific regions. It allows flexibility in its membership to range from no fewer than 20 to no more than 24 members.”
“Oclc has many members. Oclc's mission is to provide world-class service to these members. Oclc does not have any stockholders.”
“The oclc global council elects six members of the oclc board of trustees.”
“Information to prepare the 990 return and related schedules and filings (the "return") are prepared internally by oclc finance staff and provided to our tax consultants to prepare the return. The return is then reviewed by appropriate oclc management personnel. Upon management's approval, the return is provided electronically for review to one or more members of the board of trustees.”
“All employees are required to certify their knowledge of, and compliance with, the policy when hired by signing a statement. If it is unclear if a conflict exists, the employee must contact the general counsel for clarification. In addition to the general policy for all employees, members of the oclc board of trustees and the executive management team are required to certify their knowledge of, and compliance with the policy and answer detailed questions in writing on an annual basis. All responses are reviewed by the audit committee of the oclc board of trustees.”
“For all executives, the personnel and compensation committee of the oclc board of trustees reviews the proposed compensation and an analysis of compensation in the marketplace for comparable positions prepared by an outside consultant. Once approved by the committee, the entire board of oclc inc. Trustees meets in executive session to review and vote on the compensation packages. The committee and the full board consist only of individuals who do not have a conflict of interest with respect to setting the compensation for the executives. Written minutes of all board committees and board of trustee meetings are prepared. More information about oclc executive compensation can be found on the oclc website at the following link: https://www.oclc.org/en/about/finance.html?cmpcat=md_ab&cmpid=md_ab_finance”

“Information required in sch d, part x regarding the financial statement footnote for liability for uncertain tax positions under fin 48 (fasb interpretation no. 48, accounting for uncertainty in income taxes). This is now codified as accounting standards codification (asc) 740-10. The text of the footnote in oclc's consolidated financial statements as audited by oclc's independent auditor, bdo, is as follows: accounting standards codification (asc) 740-10, income taxes, addresses the accounting for uncertainties in income taxes recognized in an enterprise's financial statements and prescribes a threshold of "more-likely-than-not" for recognition of tax positions taken or expected to be taken in a tax return. Asc 740-10 also provides related guidance on measurement, classification, interest and penalties, and disclosure. Oclc evaluated its tax positions at june 30, 2024 and 2023. Based on this evaluation, oclc determined that there was no material impact to the corporation's consolidated financial statements.”

| IRS990/Desc | 0 | OCLC IS A NONPROFIT GLOBAL LIBRARY ORGANIZATION PROVIDING SHARED TECHNOLOGY SERVICES, ORIGINAL RESEARCH, AND COMMUNITY PROGRAMS SO THAT LIBRARIES CAN BETTER FUEL LEARNING, RESEARCH, AND INNOVATION. THROUGH OCLC, MEMBER LIBRARIES COOPERATIVELY PRODUCE AND MAINTAIN WORLDCAT, THE MOST COMPREHENSIVE GLOBAL NETWORK OF DATA ABOUT LIBRARY COLLECTIONS AND SERVICES. LIBRARIES GAIN EFFICIENCIES THROUGH OCLC'S WORLDSHARE, A COMPLETE SET OF LIBRARY MANAGEMENT APPLICATIONS AND SERVICES BUILT ON AN OPEN, CLOUD-BASED PLATFORM. IT IS THROUGH COLLABORATION AND SHARING OF THE WORLD'S COLLECTED KNOWLEDGE THAT LIBRARIES CAN HELP PEOPLE FIND ANSWERS THEY NEED TO SOLVE PROBLEMS. (CONTINUED ON SCHEDULE O)FY24 WAS A YEAR OF BOLD ACTION AND MAJOR ACCOMPLISHMENT FOR LIBRARIES AND OCLC THE RESULT OF OUR COLLECTIVE EFFORTS, OUR COMMITMENT TO EXCELLENCE, AND OUR RELENTLESS EFFORTS TO CREATE OUR SHARED FUTURE.WORLDCAT, THE WORLD'S MOST COMPREHENSIVE DATABASE OF INFORMATION ABOUT LIBRARY COLLECTIONS, MAKES LIBRARY COLLECTIONS FINDABLE AND ACCESSIBLE. IT ALLOWS LIBRARIES TO DRAMATICALLY REDUCE TIME SPENT ON CATALOGING AND COLLECTION DEVELOPMENT BY UNIQUELY ENABLING LIBRARIES TO SHARE METADATA CONTRIBUTIONS FROM LIBRARIES, PUBLISHERS, AND OCLC. AND WORLDCAT IS A GLOBAL LEADER IN ELECTRONIC AS WELL AS PRINT METADATA, SUPPORTING 6,500 LANGUAGES IN 135 SCRIPTS. IN FY24, 33.6 BILLION SEARCHES WERE PERFORMED IN WORLDCAT, 52.2 MILLION NEW RECORDS WERE CREATED, AND 15.9 MILLION RECORDS WERE EXPORTED. OCLC CONTINUED TO IMPROVE WORLDCAT RECORD QUALITY IN FY24. WORKING WITH THE LIBRARY COMMUNITY, OCLC IMPROVED THE QUALITY OF 22% OF ALL WORLDCAT BIBLIOGRAPHIC RECORDS. OCLC STAFF WORKED ON 121 MILLION RECORDS WHILE THE LIBRARY COMMUNITY IMPROVED AN ADDITIONAL 2.3 MILLION RECORDS. IMPROVED QUALITY MEANS IMPROVED DISCOVERABILITY AND ACCESS TO INFORMATION. AND WORLDCAT'S UNIQUE PARTICIPATORY MODEL ALLOWS THIS TO HAPPEN AT A SCALE THAT NO INDIVIDUAL INSTITUTION CAN ACHIEVE ALONE. E-RESOURCE IN WORLDCAT SERVICES GREW TO 150 MILLION DIGITAL ITEMS. THESE EFFORTS IMPROVE DISCOVERY OF AND PROVIDE ONE-CLICK ACCESS TO THESE VALUABLE RESOURCES FOR LIBRARY USERS. IN FY24, WORLDCAT HAD 4 BILLION RECORDS THAT CONTAIN ARTICLE METADATA WITH LINKS TO FULL TEXT, AND E-RESOURCES IN WORLDCAT SERVICES INCREASED 3 PERCENT. THESE INCLUDED A TOTAL OF 66 MILLION E-BOOKS AND 84 MILLION DIGITAL CONTENT ITEMS, SUCH AS EJOURNALS, E-MAPS, E-SCORES, E-VIDEOS, STREAMING MUSIC, AND AUDIOBOOKS. AT THE END OF THE FISCAL YEAR, THE WORLDCAT KNOWLEDGE BASE USED FOR MANAGING E-RESOURCES INCLUDED 29,073 COLLECTIONS FROM 677 PROVIDERS COMPRISING 81.7 MILLION RECORDS, A 14 PERCENT GROWTH IN COLLECTIONS AND RECORDS FROM LAST YEAR.PARTNERING WITH THE BIG TEN ACADEMIC ALLIANCE (BTAA), OCLC DEVELOPED AND INTRODUCED A NEW STATE-OF-THE-ART SOLUTION THAT REIMAGINES RESOURCE SHARING FOR LIBRARY GROUPS (RSG). WITH RSG, PARTICIPATING LIBRARIES HAVE ALL THE TOOLS NEEDED TO EASILY LEND AND BORROW RESOURCES FROM GROUP MEMBERS. IF A REQUEST CAN'T BE FILLED WITHIN THE GROUP, IT SEAMLESSLY SCALES OUT TO REGIONAL PARTNERS AND TO OCLC'S GLOBAL RESOURCE SHARING NETWORK WITHOUT ANY STAFF INTERVENTION. THE SOLUTION ALSO BUILDS ON SMART FULFILLMENT FUNCTIONALITY FOR FAST, PREDICTABLE DELIVERY BASED ON LOCAL POLICIES, GROUP PROFILES, AVAILABLE RESOURCES, LIBRARY RELATIONSHIPS, AND USER NEEDS WITH FIRST SUPPLIER FILL RATES AT 90-95%. AT THE END OF FY24, 1.6+ MILLION COPY REQUESTS FOR ARTICLES AND OTHER E-RESOURCES WERE FILLED VIA OCLC'S EXPRESS DIGITAL DELIVERY PROGRAM, WHICH ENABLES DIGITAL RESOURCE BORROWING AND LENDING AMONG A SELECT GROUP OF LIBRARIES THOSE WITH 18 HOURS OR LESS TURNAROUND TIMES USING THE OCLC RESOURCE SHARING NETWORK. CURRENTLY, MORE THAN 1,000 LIBRARIES FROM NEARLY 20 COUNTRIES ARE PARTICIPATING IN THIS PROGRAM, WHICH BEGAN IN JANUARY 2021, DELIVERING ILL REQUESTS WITH REMARKABLE SPEED REDUCING AVERAGE TURNAROUND TIMES BY 50%.LIBRARIES AROUND THE WORLD CONTINUED TO GROW AND SUPPORT WORLDSHARE MANAGEMENT SERVICES ( |
