Governance Explanations

Form 990, Part VI, Section B, Line 11B

The form 990 is reviewed by the management team and is approved by the board of directors before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The written conflict of interest policy is reviewed and signed annually. In the event that any trustee has a conflict of interest that might properly limit such trustee's fair and impartial participation in board deliberations or decisions, such trustee shall inform the board as to the circumstances of such conflict. No trustee shall cast a vote, nor take part in the final deliberation in any matter in which he or she, members of his or her immediate family or any organization to which such trustee has allegiance, has a personal interest that may be seen as competing with the interest of the corporation. Any trustee who believes he or she may have such a conflict of interest shall so notify the board prior to deliberation on the matter in question, and the board shall make the final determination as to whether any trustee has a conflict of interest and the recusal of the interested trustee.

Form 990, Part VI, Section B, Line 15

The organization conducts a wage and comparability study. This study is prepared on an annual basis. In addition, the independent board of directors appoints a committee of board members to do a performance evaluation of the chief executive officer's compensation. The evaluation is documented in the board meeting minutes.

Form 990, Part VI, Section C, Line 19

The organization makes its governing documents, conflict of interest policy, and financial statements available to the public upon request and through the annual report.

Supplemental Narrative

Additional Explanations

FORM 990, PART XI, LINE 9:

Book to tax differences through k-1s -27,876.

FORM 990, PART XII, LINE 2C:

The oversight process has not changed from prior year.

PART I, LINE 19:

Through the process of consolidating the financial statements, leads must report the activity of its low-income housing affiliates. Despite the large overall loss being reported on form 990, leads separately had a change of net assets in the amount of $25,125 for fiscal year 3/31/25.

Financial Statement Notes

PART X, LINE 2:

The organizations are required to assess whether it is more likely than not that a tax position will be sustained upon examination on the technical merits of the position, assuming the taxing authority has full knowledge of all information. If the tax position does not meet the more likely than not recognition threshold, the benefit of that position is not recognized in the consolidated financial statements. Leads and subsidiaries has determined there are no amounts to record as assets or liabilities related to uncertain tax positions.
