Goodwill easter seals miami valley is a not-for-profit organization that has a stated mission to empower people with disabilities and other disadvantages to achieve independence and improve their quality of life. Services are provided in portions of 23 counties in west central ohio. Robert j. Blommel, trustee had a business relationship with mark e. Schutter, craig jennings, and robert f. Raggio, trustees and amy luttrell, former president. Joe zehenny, trustee, had a business relationship with sam warwar, and terry vukcevic, trustees. Mark kingseed, trustee, had a business relationship with sam warwar, trustee.

Form 990, Part VI, Section B, Line 11

The 990 is compiled by the outside auditors from the audited trial balance and other supplemental schedules prepared by internal finance staff. The cfo and controller review the draft 990 and revises and rewrites as necessary. Manager and partner review from the outside auditors will result in questions and or revisions. The advance draft is reviewed by the cfo and the vice president and the president. Any necessary modifications are made to the 990. The final draft from the auditors which has been reviewed extensively by senior management as mentioned above is then sent to the members of the audit committee. Any questions are responded to and any necessary modifications are made. The audit committee, upon being satisfied by their review, recommends that the 990 can be filed. A copy of the 990 is provided to the full board before it is filed.

Form 990, Part VI, Section B, Line 12C

Each board member is required to fill out a conflict of interest questionnaire annually. These questionnaires are reviewed by the executive committee and the committee would recommend any action that might be necessary.

Form 990, Part VI, Section B, Line 15

All disqualified individuals of the organization, which in 2014 consisted of amy luttrell, lance detrick, matthew arntz, steve kopecky and leo dugdale, have their compensation reviewed annually by the executive committee of the board. Comparable data for base compensation, bonus and fringe benefits is developed by mercer consulting and made available to the board. The board uses this data to set the compensation of the president. The president sets the compensation of the vice presidents and the cfo, with limits approved by the executive committee of the board. The executive committee will always ask if any members have a conflict of interest with respect to approving the compensation of the disqualified individuals. If so, they do not vote. The results of the review and the voting are documented in the minutes.

Although the 990 is available to the public, conflict of interest and financial statements are generally not made available to the public although summarized financial information prepared from the audited financials is made available in the annual report.

Financial Statement Notes

PART V, LINE 4:

The agency uses a portion of the endowment fund appreciation to fund needy social programs that may not have a funding source. These funds provide a net asset base which enhances the credit worthiness of the agency. The endowment fund also provides stability to the agency in the event of economic downturn.

PART X, LINE 2:

Accounting for uncertainty in income taxes - based on its review, management does not believe the organization has taken any material uncertain tax positions, including any position that would place the organizations exempt status in jeopardy as of december 31, 2014. The federal tax returns of the corporation for 2011, 2012, and 2013 are subject to examination by taxing authorities, generally for three years after their filing date.
