Any person, partnership, company, firm, corporation, institution, governmental agency, or business entity, which is beneficially affected by or interested in visitors or groups coming to or convening in greater cincinnati, shall be eligible for membership in the greater cincinnati convention & visitors bureau.

The bureau is a membership organization and the members elect the at large board members.

The form 990 and related schedules are reviewed by the finance chair and other members of the finance committee.

A conflict of interest disclosure form is required to be completed and signed by the board of directors annually. The board member must disclose in writing to the chairperson of the board any potential conflicts. Arrangements that create a conflict will be reviewed on a case by case basis.

The executive committee may hold meetings, make rules for the conduct of its business and appoint such committees and assistants as it shall deem necessary. A majority of the members of the executive committee shall constitute a quorum and the act of a majority of members of the executive committee present at a meeting thereof, if there is a quorum, shall be the act of the executive committee.

Financial Statement Notes

PART X, LINE 2:

The internal revenue service has ruled that the bureau qualified under 501(c)(6) of the internal revenue code (irc). Once qualified, the bureau is required to operate in conformity with the irc to maintain its qualification. The bureau is subject to federal income tax on any unrelated business taxable income. The bureau evaluates its uncertain tax positions, if any, on a continual basis through review of its policies and procedures, review of its regular tax filings and discussions with outside experts. No uncertain tax positions were identified by the bureau as of december 31, 2023 and 2022. The bureau's policy is to classify income tax penalties and interest as interest expense in its financial statements. During the years ended december 31, 2023 and 2022, the bureau incurred no penalties and interest. The bureau's federal returns are exempt from income tax (form 990) for 2020, 2021, and 2022 and are subject to examination by the irs, generally for three years after they were filed. As of the date of this report, the bureau's 2023 return had not yet been filed.
