A draft is distributed to the Finance Committee for comments, corrections and/or concerns. Once accepted, a final draft is submitted to full board of directors for review and acceptance.”

“Part VI, Section B, Lines 12a, 12b and 12c: Fab Lab Tulsa maintains a written Conflict of Interest Policy, and routinely and systematically implements that policy to prevent actual, potential and perceived conflicts of interest by its Board of Directors, staff and volunteers. The policy is reviewed annually by the Governance Committee with both directors and employees asked to disclose in writing any actual or potential conflicts of interest. All disclosed conflicts of interest are independently reviewed by uninvolved members of the Board of Directors to determine the appropriate course of action. Any proposed course of action must be approved by a majority vote of the Board of Directors with consideration given to the best interest of the organization.”

“Part VI, Section B, Lines 15a and 15b: Fab Lab Tulsa utilizes a standard system of employee management, including independent board supervision of its Executive Director. The full board hires the executive director and sets the Executive Directors overall compensation structure. Certain members of the boards Officers and Executive Committee evaluate Executive Director with a written performance assessment on an annual basis, and then reports to the governance and finance committees before acceptance by the full board during the annual budget process. Compensation for the Executive Director is set forth in line with industry standards, and at a level sufficiently competitive to obtain a high caliber candidate while staying within budget constraints. In determining appropriate industry standards, the organization refers to the Oklahoma Center for Non-Profits Salary Survey, which provides salary and benefit ranges for a variety of positions in the non-profit sector.”
