Members or stockholder classes and rights Part VI line 6

The international carbon black association is managed and administered by a board of directors elected by the members (there are no stockholders). The board of directors sets strategy and provides overall direction and oversight to four committees that execute the strategy and priorities established by the board. There are currently seven members of the association: birla carbon company, cabot corporation, cancarb limited, continental carbon, orion engineered carbons, sid richardson, and imerys graphite and carbon.

Member election for additional members Part VI line 7A

Any legal or natural person engaged in the production of carbon black in europe, the united states or canada may be a member of the association. In addition, members by unanimous consent, may expand membership to other designated countries. Among the factors that will be taken into account is whether the country under consideration aspires to achieve a health, safety and environmental regulatory regime comparable to those in europe, the united states and canada. To date, the association has extended membership beyond this region to a company operating in egypt, alexandria carbon company (the birla group).

Conflict of interest policy compliance Part VI line 12C

Annually each of the board of directors shall certify that he/she understands and agrees to comply with the conflict of interest policy. Periodic reviews are conducted by the board of directors or outside experts.in connection with any actual or possible conflict of interest, an interested party, under the policy, has a duty to disclose the existence of the actual or possible conflict and shall be given the opportunity to disclose all material facts to the board of directors. If the board of directors has reasonable cause to believe a director or officer has failed to disclose an actual or possible conflict of interest, it shall inform the director or officer of the basis for such belief and give the director or officer an opportunity to explain the failure.
