The Society recognizes four classes of active membership; Regular, Affiliate, Local-Only, and Student.

Form 990, Part VI, Section A, line 7A

Regular members may vote to elect directors and change bylaws; bylaws require a quorum of directors for a passing board vote.

Form 990, Part VI, Section A, line 7B

Bylaw amendments require approval by the Board and adoption by a three-quarters vote of the regular members.

The Society does not have any committees with the authority to act on behalf of the governing body.

The entire Form 990 will be reviewed prior to filing by the Executive Director, Treasurer, and the Business and Finance Committee.

Form 990, Part VI, Section B, line 12C

Compliance is monitored by self-reporting for all board members, officers and the Executive Director. Directors are responsible for promptly making full disclosures of any conflict of interest to the qualified directors of the board (directors with no conflict of interest with regards to the transaction or situation). Qualified directors then discuss the conflict of interest and, depending on the nature of the conflict of interest, vote on continuing with the transaction. Directors subject to a conflict of interest shall not be permitted to be present or to participate in the deliberations or vote of the qualified directors with respect to such conflict of interest. Proceedings are documented in the meeting minutes.

The compensation of the Executive Director is reviewed by and voted on by the board of directors. It is determined using comparative compensation data with other non-profits of similar size and scope, while considering the Society's budget. The compensation for the Executive Director was last reviewed in 2014. There are no other compensated officers of the organization.

The Society uses a modified cash method of accounting. Entries are made on a cash basis, however, the organization will record unpaid invoices in accounts receivable, accrue prepaid expenses and deferred revenue.

Financial Statement Notes

Part X, Line 2:

The Society is exempt from income taxes under section 501(c)(6) of the Internal Revenue Code. It has been classified as an association that is not a private foundation under the Internal Revenue Code and charitable contributions by donors are tax deductible. CFA Society of Minnesota is also exempt from state income taxes. CFA Society of Minnesota did not have any unrelated income. CFA Society of Minnesota follows the provisions of accounting for uncertainty in income taxes. This standard clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statement and prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized.

Programs are offered in a luncheon or breakfast format and provide updates on current industry topics and best practices. Meetings are open to members, other industry professionals and students. Speakers are representatives from the financial services industry, both local and national perspectives. In FY2016, we offered more than 70 events, attended by more than 2,000 people.

IRS990/ProgSrvcAccomActy2Grp/Desc0The Chartered Financial Analyst (CFA) designation is one of the fastest growing professional credentials in the world. It is a globally recognized standard for measuring the competence and integrity of investment professionals. The three levels of examination verify a candidate's ability to apply these principles across all areas of the investment decision-making process. The program's professional conduct requirements demand that both CFA candidates and charterholders adhere to the highest standards of ethical responsibility. The recognition dinner was designed to recognize the achievements of new charterholders and provides an educational presentation with a keynote speaker. Spouses and employers as well as the general membership are invited and encouraged to attend. The FY2016 charterholder recognition dinner was attended by more than 110 guests, where we celebrated 77 new full-fledged charterholders and 34 other candidates who passed level 3 of the CFA exams.
IRS990/ProgSrvcAccomActy3Grp/Desc0The Annual Economic Dinner is our largest public awareness event, designed to raise the level of awareness of our members in the broader community as well as bring together as large a group of members as possible to continue working toward development of "community." A veritable "Who's Who" of the local investment community - clients, spouses and employers as well as the general membership - is invited and encouraged to attend. The 2016 dinner was attended by approximately 300 guests, who enjoyed a presentation by Doug Dachille, CIO of American International Group (AIG).
IRS990/ProgSrvcAccomActyOtherGrp/Desc0InvestMNt is an institutional investor conference created and implemented by volunteers and staff from the CFA Society of Minnesota. To our knowledge, InvestMNt was the first investor conference in Minnesota planned and delivered by a non-profit organization, and is the largest such event in the U.S. InvestMNt is "a conference for investors, by investors," designed by buy-side firms to be more open and inclusive, which is distinctly different than similar conferences held (and tightly controlled) by investment banking firms. The fifth annual conference expanded to a two-day format in FY2016. The event was held August 23-24, 2016 at the University of Saint Thomas and featured 80 presenting companies, including a new ESG (environmental/social/governance) track. The event was quite successful and profitable, attracting more than 200 qualified institutional investors and expanding the Society's impact on the investment community in Minnesota and the upper Midwest. At the 2016 conference, we announced a new name and brand - Intellisight.

It has been classified as an association that is not a private foundation under the Internal Revenue Code and charitable contributions by donors are tax deductible. CFA Society of Minnesota is also exempt from state income taxes. CFA Society of Minnesota did not have any unrelated income. CFA Society of Minnesota follows the provisions of accounting for uncertainty in income taxes. This standard clarifies the accounting for uncertainty in income taxes recognized in an entity's financial statement and prescribes a recognition threshold for the financial statement recognition of tax positions taken or expected to be taken on a tax return that are not certain to be realized.
