“Changes have been made to the bylaws: 1) section 1 now reads: the association shall have a board of directors composed of up to twenty- three (23) members who shall serve without compensation. Members of the board shall include one (1) or two (2) chairs, a record- keeper, and a treasurer. The outgoing chair or co-chairs shall serve as officiate members(s) of the board. All directors must be members in good standing. Previously the board was limited to 15 members. This change was approved on 04/21/2022, but was not yet disclosed to irs 2) article xiii : electronic mail voting procedures provisions have now been made for voting via electronic mail. The process for this and required procedures are outlined in detail in the new bylaws. This email by voting change was approved on 4/25/24.”

“A full copy of the 990 is distributed to all board members for review prior to filing.”

“The following policy was adopted by the dimond improvement association board of directors at the october 10, 2013 meeting: no dimond improvement association board member shall have any financial interest including though not limited to interest through family members, business relations or other associates in the assets of the dimond improvement association or connection with any transaction which the dimond improvement association proposes unless such interest is disclosed and approved by a majority of the dimond improvement association board then in office. Board members are required to notify the full board upon the realizaiton that they might have a conflict of interest.”

“The executive committe of the agency currently serve the function of the managing officers, without compensation. There are no plans to hire any paid managing officers.”
