The form 990 is prepared by an outside accounting firm in coordination with senior staff. The senior staff provides input into the preparation and then reviews the full draft once available and provides comments if necessary. The draft 990 is then distributed to all members of the board electronically for review prior to filing the form 990 with the irs.

Form 990, Part VI, Section B, Line 12C

The organization has a written conflict of interest policy that applies to the board of directors, officers and key employees (if any). The board of directors is responsible for ensuring the compliance of the conflict of interest policy. The board mandates that all members of the board of directors sign a conflict of interest policy and disclose any potential or actual conflicts of interest that may exist annually. In connection with any actual or possible conflict of interest, any director or officer of the organization must disclose the existence of the interest before the organization enters into the transaction to which the interested person has an interest and they must be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. After disclosure of the interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board of committee members shall decide if a conflict of interest exists. The minutes of the governing board and all committee with board delegated powers shall contain: - the name of the person who disclosed or otherwise were found to have an actual or possible conflict of interest, the nature of the interest, any action taken to determine whether a conflict of interest was present, and the governing board's or committee's decision as to whether a conflict of interest in fact existed. - the name of the persons who were present for discussions and votes relating to the transaction or arrangement, the content of the discussion, including any alternatives to the proposed transaction or arrangement, and a record of any votes taken in connection with the proceedings.
