Mission

To strengthen under-resourced communities

Founded in 2009 by artist linda goode bryant, project eats is a living installation of neighborhood-based, small-plot, high yield farms that use urban agriculture, partnerships, and social enterprise to sustainably grow and equitably distribute fresh, local, organically grown food in communities across new york city. Project eats transforms vacant lots and rooftops into viable farms supporting farm stands, pantries, prepared food, and community programs in neighborhoods disproportionately experiencing inequitable food access and diet-related illness across new york city. Communities deserve to grow their own food right where they live-art that feeds.

Governance Explanations

The form 990 is prepared by an outside accounting firm in coordination with senior staff. The organization's administrator provides input into the preparation and then reviews form 990 once available and provides comments if necessary. The 990 is then distributed to all members of the board electronically for review prior to filing the form 990 with the irs.

The organization has a written conflict of interest policy that applies to the board of directors, officers and key employees. The board of directors is responsible for ensuring the compliance of the conflict of interest policy. All members of the board of directors annually sign a conflict of interest statement disclosing any potential or actual conflicts of interest that may exist. In connection with any actual or possible conflict of interest, any director, officer, or key employee of the organization must disclose the existence of the interest before the organization enters into the transaction. The interested person is given the opportunity to disclose all material facts to the board or committee with board delegated powers that is considering the proposed transaction or arrangement. After disclosure of the interest and all material facts, and any discussion with the interested person, he/she leaves the governing board or committee meeting while the determination of a conflict of interest is discussed and voted upon. The remaining board of committee members must decide if a conflict of interest exists and how to proceed.

The executive board committee reviews and approves the compensation of the president using compensation data from comparable institutions under comparable circumstances in the same geographic area, such as form 990s.
