“Membership shall be open to individuals and organizations that have an interest in promoting the mission and objectives of the Alliance; membership shall be effective upon payment of dues and approval of membership application. There shall be one class of members. Members shall have the right to attend the annual meeting of the Alliance and participate in policy discussions. Members shall have no right to vote on resolutions binding the Alliance. All members, voting or nonvoting, of chapters of the Alliance shall be members of the Alliance.”
“EXECUTIVE REVIEW - The President and CEO, Director of Finance & Operations, and other staff and/or consultants shall work in conjunction with the outside accounting firm engaged to prepare the Form 990 to review its accuracy prior to Board review and submission. It is the duty of the President and CEO to sign and certify that the Form 990 is accurate and complete. Upon resolution by the Board Audit Committee and presentation to the Board, the President and CEO shall ensure the filing the Form 990 by November 15, based on fiscal year ending Dec 31, each year. BOARD REVIEW - The Board Audit Committee shall review and approve Form 990 prior to full Board review and submission. It is the duty of the Audit Committee to report its findings concerning Form 990 to the Board at large prior to submission. The Board shall receive a copy of the IRS Form 990 in advance of filing, and a PDF of the final form shall be posted to the Board's online Handbook for future reference.”
“The organization has a Conflict of Interest Policy that requires that all Board directors disclose their conflicts of interest in any matter involving the organization or its policies. Every Board director files an annual statement attesting to their receipt of and subscription to the policy, and opportunities to declare potential conflicts of interest are provided at the beginning of every Board meeting. The minutes of the Board meetings record any such disclosures offered. Further, staff for the organization monitors all votes taken by the Board of Directors to ensure that no conflicts occur.”

“FIN 48 Footnote from Audited Financial Statements: The Alliance was granted an exemption from federal income taxes by the Internal Revenue Service pursuant to the provisions of Internal Revenue Code Section 501(c)(3). The Alliance qualifies for the charitable contribution deduction under Section 170(b)(1)(A)(vi) and has been classified as an Alliance that is not a private foundation under Section 509(a)(1). The tax-exempt purpose of the Alliance and the nature in which it operates is described above. The Alliance continues to operate in compliance with its tax-exempt purpose. The Alliance's annual information and income tax returns filed with the federal and state governments are subject to examination by the IRS, generally for three years after they were filed.”
